譽衡藥業(002437.SZ)起訴弓靜等歸還收購保證金及違約金事宜獲法院受理
格隆匯12月25日丨譽衡藥業(002437.SZ)公佈，2019年12月25日，公司收到北京市第三中級人民法院立案受理通知書，獲悉公司起訴弓靜、樟樹市亞新投資管理中心（有限合夥）、北京鑫誠瑞捷科技有限公司歸還收購保證金、資金佔用費及違約金事宜已獲受理。
據悉，2017年12月18日，公司召開的第四屆董事會第四次會議審議通過了《關於授權董事長朱吉滿先生簽訂
<收購框架協議>
的議案》，同意公司收購弓靜、亞新合夥持有的上海瑾呈信息科技（集團）有限公司70%股權，並向弓靜、亞新合夥支付2億元收購保證金。2018年5月29日，公司召開的第四屆董事會第九次會議審議通過了《關於終止收購上海瑾呈信息科技（集團）有限公司股權的議案》，決定終止收購弓靜、亞新合夥持有的瑾呈集團70%股權；同日，公司與弓靜、亞新合夥簽署了《收購框架協議之終止協議》。根據《終止協議》約定，弓靜、亞新合夥應在《終止協議》簽署之日起五個工作日自行或指定第三方將公司已支付的收購保證金退回至公司指定銀行賬户。
弓靜、亞新合夥由於資金安排等原因，未能按照《終止協議》約定的期限將全額收購保證金退回。截至2018年6月6日，弓靜、亞新合夥向公司指定的銀行賬户退回收購保證金2,000萬元，尚有18,000萬元未退回。後續，經公司與弓靜、亞新合夥多次溝通、協商，弓靜、亞新合夥向公司出具了新版《關於退還收購保證金的承諾》，並向公司退還收購保證金500萬元。截至本公告披露日，弓靜、亞新合夥累計退還收購保證金2,500萬元，尚有17,500萬元收購保證金及資金佔用費、違約金未退還。
鑑於弓靜、亞新合夥未按《關於退還收購保證金的承諾》約定時間退還收購保證金及資金佔用費，已構成違約，嚴重損害了公司的合法權益，公司向北京市第三中級人民法院提起訴訟。
公司的訴訟請求：請求依法判令被告亞新合夥、被告弓靜連帶向公司退還收購保證金1.75億元；請求依法判令被告亞新合夥、被告弓靜連帶向公司支付資金佔用費3230萬元（具體數據以實際清償之日計算結果為準）；請求依法判令被告亞新合夥、被告弓靜連帶向公司支付違約金4572.4萬元。
