綠城中國(03900.HK)擬不超4.2億元收購浙江銀潤藍城房地產開發40%股份
格隆匯12月24日丨綠城中國(03900.HK)公告,於2019年12月24日,公司的全資附屬綠城小鎮、浙江銀潤、浙江藍城、寧波藍右、寧波藍鎮與藍城小鎮致源就目標公司訂立股份轉讓及合作協議。
根據股份轉讓及合作協議,綠城小鎮同意收購目標公司浙江銀潤藍城房地產開發有限公司40%股份,且綠城小鎮根據股份轉讓及合作協議應付總額不超過人民幣4.2億元(包括不超過人民幣3.9億元的代價及不超過人民幣3000萬元的財務資助)。股份轉讓及合作協議目的為就開發湖州安吉項目載列合營夥伴合作的條款。
目標公司為於中國成立的有限公司。其於2017年成立,主要業務為房地產開發、旅遊項目開發以及管理、物業管理及教育項目投資。目標公司於2019年6月30日的未經審核資產淨值約為人民幣5426.98萬元。
截至本公告日期,湖州安吉項目已取得進展,獲取了14宗建設用地,總佔地面積為645,493平方米。股份轉讓及合作協議訂約方認為收購事項將推動目標公司進一步發展湖州安吉項目。因此,董事會認為,合營夥伴彼此合作將因各自強項及協同效益為湖州安吉項目帶來裨益,並將拓寬本公司的資產及盈利基礎,進一步鞏固本公司作為中國頂尖物業開發商的地位。根據股份轉讓與合作協議,財務資助將不會由目標公司的所有股東按比例提供,而僅由綠城小鎮、浙江銀潤和浙江藍城提供,惟董事會認為如果目標公司需要額外資金,財務資助將為目標公司提供其日常運營和管理所需的資金,因此符合本集團作為目標公司股東的利益。
股份轉讓及合作協議條款由協議訂約方參考以下各項公平磋商後釐定,其中包括:(i)在相若發展階段類似於湖州安吉項目的可資比較物業的公平市值;及(ii)湖州安吉項目發展所需資金、實際及預期項目成本以及回報前景。
