天神娛樂(002354.SZ)：嘉興樂玩不再納入公司合併範圍
格隆匯12月24日丨天神娛樂(002354.SZ)公佈，公司子公司嘉興樂玩網絡科技有限公司(“嘉興樂玩”)不再納入公司合併範圍。
公司持有嘉興樂玩股權比例42%，原為嘉興樂玩第一大股東，並佔有嘉興樂玩董事會多數董事席位。
嘉興樂玩第二大股東嘉興朝輝投資合夥企業(有限合夥)(“朝輝投資”)持有嘉興樂玩股權比例38%，第三大股東永新縣楚之信科技研發中心(有限合夥)(“楚之信”)持有嘉興樂玩股權比例15%。
朝輝投資與楚之信(“一致行動人”)於近日簽署了一致行動協議，協議簽署完成後，一致行動人持股53%，成為嘉興樂玩第一大股東。
公司於2019年12月24日召開第五屆董事會第四次會議審議通過了《關於同意公司子公司變更董事會構成的股東會決議的議案》。
2019年12月24日，嘉興樂玩召開股東會，審議變更董事會構成的議案，嘉興樂玩董事會由5名董事組成，變更董事會構成的議案將嘉興樂玩董事會的組成方式由“天神娛樂有權委派3名董事，朝輝投資有權委派2名董事”變更為“天神娛樂有權委派2名董事，朝輝投資有權委派2名董事，楚之信有權委派1名董事”。對於嘉興樂玩的全資子公司設立董事會的，其結構應該與嘉興樂玩保持一致，不設董事會的，執行董事由嘉興樂玩董事會決定人選。
此次嘉興樂玩董事會構成變更後，公司不再佔有嘉興樂玩董事會多數董事席位。
基於上述情況，一致行動人作為嘉興樂玩第一大股東能夠控制董事會，成為嘉興樂玩控股股東，嘉興樂玩不再納入公司合併範圍。
2018年度，嘉興樂玩營業收入44615.89萬元，佔公司合併報表營業收入的17.17%，淨利潤16298.8萬元。公司持有嘉興樂玩的股權比例不變，嘉興樂玩作為公司的參股公司，不再納入公司合併範圍，將採用權益法核算，該事項對公司合併報表歸屬於上市公司股東的淨利潤和歸屬於上市公司股東的淨資產無影響。
