亞太藥業(002370.SZ)已失去對上海新高峯及其子公司的控制 將對2019年度財報產生重大影響
格隆匯12月24日丨亞太藥業(002370.SZ)公佈，公司經自查，發現公司全資子公司上海新高峯生物醫藥有限公司(“上海新高峯”)之全資子公司上海新生源醫藥集團有限公司(“上海新生源”)存在違規對外擔保情況，且2019年經營業績突然出現大幅下降，為全面核實相關情況，加強子公司管理，公司於2019年11月25日派工作組進駐上海新高峯，管控工作受阻，上海新高峯無法正常運營，子公司失去控制。
2015年12月，公司以現金9億元收購Green Villa Holding Ltd.持有的上海新高峯生物醫藥有限公司100%的股權。因上海新高峯業務獨立，基於交易對方Green Villa Holding Ltd.做出業績補償承諾，交易對方實際控制人任軍(上海新高峯董事長兼總經理)對交易對方作出的業績承諾等承擔連帶責任保證，為滿足其經營決策效率訴求，在收回所有對外投資、融資(包括抵押、擔保等)權限等情況下，子公司上海新高峯原核心管理層不變，任軍仍擔任上海新高峯董事長、總經理。
公司派工作組進駐上海新高峯後，採取的管控措施在推進中受阻，截至目前，上海新高峯工作組未能接管上海新高峯、上海新生源及其子公司共10家公司印章、營業執照正副本原件等關鍵資料，不能對其實施控制。同時，上海新高峯及子公司部分電腦損壞，重要資料遺失；上海新高峯及其子公司部分核心關鍵管理人員、員工在工作組進駐前已相繼離職，公司無法掌握上海新高峯及其子公司實際經營情況、資產狀況及面臨的風險等信息，致使公司無法對上海新高峯及其子公司的重大經營決策、人事、資產等實施控制，公司已在事實上對上海新高峯及其子公司失去控制。
鑑於公司已失去對上海新高峯及其子公司的控制，不再將其納入公司合併報表範圍，公司對上海新高峯及其子公司失去控制事項將對公司2019 年度財務報表產生重大影響。
