*ST中絨(000982.SZ)：恆天金石將成為公司控股股東
格隆匯12月24日丨*ST中絨(000982.SZ)公佈，2019年12月24日，公司已在中國證券登記結算有限責任公司深圳分公司辦理完成重整計劃股權登記事項。
此次權益變動前，恆天金石通過其控制的恆天嘉業和恆天聚信間接持有公司3.94444億股股份，佔公司總股份的21.85%，為上市公司第二大股東。《重整方案》實施後，公司總股本增至約42.6188億股。此次權益變動後，恆天金石將直接持有上市公司170,994,176股股份，加上通過恆天聚信和恆天嘉業間接持有的股份，恆天金石合計持有上市公司565,438,176股股份，佔比13.27%，成為上市公司的控股股東。按照恆天金石披露的股東持股結構，恆天金石無實際控制人，請廣大投資者予以關注。
此次權益變動前，中絨集團持有本公司481,496,444股票,占上市公司總股份的26.68%，為上市公司控股股東，實際控制人為馬生國先生。此次權益變動完成後，中絨集團仍持有公司481,496,444股票，但因上市公司總股本增加，中絨集團持股比例稀釋為11.30%，目前為公司第二大股東。但因寧夏恆天絲路產業投資基金合夥企業(有限合夥)已向法院申請依法拍賣、變賣中絨集團所持公司4億股份，如果最終被法院准許，結合中絨集團所持公司8149.6萬股已被申請實現質押擔保物權，則中絨集團所持公司481,496,444股中481,496,000股將面臨被拍賣、變賣。基於上述所涉股權的拍賣或變賣去向仍具有不確定性，中絨集團仍將可能喪失該部分股權，導致其持有的中銀絨業的股權比例將進一步降低。請廣大投資者予以關注。
此次權益變動前，中國進出口銀行陝西省分行未持有公司股份。此次權益變動後，中國進出口銀行陝西省分行將受讓其中的255,474,983股轉增股票用於抵償上市公司在中國進出口銀行陝西省分行的債務，股票的抵債價格按5.87元/股計算。此次權益變動完成後，中國進出口銀行陝西省分行的持股數量由0股增加至255,474,983股，持股比例由0%增加至5.99%。
因實施重整計劃，此次權益變動後登記在寧夏中銀絨業股份有限公司破產企業財產處置專用賬户上的股票數量為693,409,979股，佔公司股份總數的16.27%，屬於破產管理人臨時代持股份情形。管理人此次開立的破產企業財產處置專用賬户僅為協助重整計劃執行所用的臨時賬户，待重整計劃執行完畢之後將自動註銷。代持股份期間，將不行使標的股份所對應的公司股東的權利(包括但不限於表決權、利益分配請求權等)。
