廣東甘化(000576.SZ)擬向江門嘉泰物流轉讓北街電廠100%股權
格隆匯12月24日丨廣東甘化(000576.SZ)公佈，公司於2019年12月23日召開了第九屆董事會第二十五次會議，審議通過了《關於轉讓江門北街發電廠有限公司100%股權的議案》，同意公司向江門市嘉泰物流服務有限公司(“江門嘉泰”)轉讓公司持有的江門北街發電廠有限公司(“北街電廠”或“目標公司”)100%股權。此次交易以評估結果為基礎，經雙方協商，交易對價定為4645萬元。公司獨立董事發表了明確同意的獨立意見。
由於國家環保政策的影響，北街電廠已於2018年底停止燃煤發電及生產蒸汽，企業處於停產狀態，未來也不可能重新恢復生產，只能等待政府對該區域實施“三舊”改造，按照未來相關政策享受土地出讓分成收入。但近期北街電廠、廣東江門生物技術開發中心有限公司(“生物中心”)所處片區的城市規劃調整及相關因素變化對北街電廠所處地塊未來價值提升及變現產生重大不確定影響：一是政府規劃沿西江邊建設一條城央綠廊景觀大道，將佔用北街電廠部分土地，未來北街電廠列入“三舊”改造的土地面積有所減少；二是由於眾多因素的制約，北街電廠原主要供應蒸汽的兩大重點化工企業異地搬遷計劃至今無法落實，“三舊”改造時間無法確定。
同時，公司已實施向軍工領域戰略轉型，並將圍繞軍工相關領域開展產業整合。通過轉讓北街電廠100%股權，可以回籠部分現金，有利於公司集中資源加快向軍工領域的轉型工作，有利於公司的長期發展。
若北街電廠100%股權轉讓工作於2019年12月完成，從2020年起，北街電廠將不再納入公司合併報表範圍。由於北街電廠已停止生產，生產設備處於閒置狀態，現僅靠收取租金作為經營收入。根據廣東正中珠江會計師事務所出具的《審計報告》(廣會審字[2019]G19026330030號)，北街電廠2018年度營業收入530.44萬元，淨利潤-174.30萬元；2019年1-9月份營業收入367.16萬元，淨利潤288.23萬元。公司轉讓北街電廠100%股權後，對公司的營業收入及淨利潤影響很小。經初步核算，公司本次轉讓北街電廠100%股權，對公司2019年度損益的影響約1,300萬元，具體影響數據以會計師年度審計確認為準。
經過了解，江門嘉泰為新成立企業，但其股東及相關方財務狀況良好，業務領域較廣，抗風險能力較強。公司於2019年9月將原持有的生物中心45%股權轉讓給江門嘉泰，上述股權轉讓合同履行情況良好，交易對方及相關方有相應的支付能力。
