科隆股份(300405.SZ)與西部建設簽訂戰略合作框架協議
格隆匯12月24日丨科隆股份(300405.SZ)公佈，公司(“乙方”)與中建西部建設股份有限公司(“西部建設”或“甲方”)本着“自願、平等、共贏、守信”的原則，經友好協商，雙方決定建立聚羧酸減水劑單體採購供應等領域的戰略合作伙伴關係，於近日簽訂《戰略合作框架協議》。
甲方根據旗下外加劑工廠分佈廣、承建工程多、採購需求量大等特點，整合相關區域、相關客户聚羧酸單體需求資源，充分發揮規模化集採優勢，乙方依託產品品質和技術實力以及配套資源優勢實現供需對接。雙方根據企業發展戰略需要，在供應鏈匹配、產品研發、技術交流、工程投標、信息共享等方面開展多方位深層次合作，實現“長期合作，互利雙贏”的目標。合作內容如下：
1、產品供應與服務
(1)甲方在同地區同等條件下(含國外境外)，優先選擇乙方產品(建設單位有特定要求的除外)，並不斷拓展合作區域，提升合作份額。預計每年合作份額不低於人民幣1億元，未來3年力爭突破人民幣4億元。
(2)乙方給予甲方在乙方銷售區域內同等條件下最優的銷售政策，並優先保障甲方生產、經營所用產品和服務的需求，共同建立起穩定高效的供應鏈。
(3)雙方簽訂戰略合作框架協議，並在此協議內容指導下，甲方(或旗下企業)作為購買方，乙方作為供貨方，具體授信政策、優惠幅度由雙方進行商談，達成一致意見後簽訂購銷合同執行。
2、信息共享和技術交流
(1)甲方定期傳遞其單體整體需求信息，乙方根據甲方需求信息及時做好業務對接，傳遞相關市場價格信息。
(2)雙方致力於推動國家混凝土行業建材領域的綠色升級，在混凝土外加劑相關新技術、新產品、新材料、新工藝的研發、應用、推廣等方面，加強技術交流和合作應用。
(3)雙方一致同意建立全方位溝通機制，定期開展高層互訪，甲方指定集採分公司，乙方指定銷售部，就行業發展、學術交流、合作項目及模式、環氧乙烷價格走勢等課題進行深入溝通與交流，並協調解決合作過程中問題，深化合作發展事宜。
3、項目合作
(1)甲方充分利用施工領域的專業影響力，拓展高品質、高附加值的產品在工程項目上使用，乙方發揮其產品品牌、品質的影響力，雙方互相支持參與有關重點工程項目投標工作，具體根據重點工程性質雙方協商決定。
(2)甲方憑藉其在行業的專業優勢和豐富經驗，乙方憑藉其資源優勢和營銷優勢，雙方加強交流與溝通，優勢互補，共同探尋在建材領域的合作新機遇。
(3)雙方充分利用各自優勢，共同參與國家“一帶一路”建設和海外項目投標，並共同抵禦市場風險。
此次戰略合作協議的簽署，公司與西部建設建立了穩定的合作伙伴關係，可以實現優勢互補，提升公司在混凝土外加劑市場上的競爭力。因協議是框架性合作協議，具體業務合作協議尚未簽訂，對公司2019年度的營業收入、淨利潤等經營業績和生產經營不構成重大影響，短期內對公司業績不會產生重大影響。
