凱龍股份(002783.SZ)：參股合夥企業合同糾紛案達成和解
格隆匯12月24日丨凱龍股份(002783.SZ)公佈，公司於近日收到參與投資的合夥企業湖北金羿凱龍新能源汽車產業股權投資合夥企業(有限合夥)(下稱“金羿凱龍”)與深圳國安精密機電有限公司(下稱“深圳國安公司”)、國安新能源(荊門)有限公司(下稱“國安荊門公司”)兩家公司簽署的《和解協議》，就前期合同糾紛案達成和解協議。
原告湖北金羿凱龍新能源汽車產業股權投資合夥企業(有限合夥)與兩被告深圳國安公司及國安荊門公司合同糾紛兩案(案號:[2018]08民初293號)，在荊門市中級人民法院的組織下，經各方當事人自願協商一致，達成如下協議：
1、原告與兩被告均同意解除《增資協議書》(協議編號:XNYQC-Z2-1)和《湖北金羿凱龍新能源汽車產業股權投資合夥企業(有限合夥)與國安新能源(荊門)有限公司之增資擴股補充協議書》(協議編號:XYOC-Z2-2)。
2、原告在上述增資協議解除前向被告國安荊門公司出資人民幣7,157.46萬元，各方同意按協議約定方式進行返還和折抵股權：
(1)被告合計向原告返還投資款人民幣41,250,345.7元，原告投資款差額部分為人民幣30,324,254.3元。
(2)原被告同意，被告深圳國安公司以其持有的被告國安荊門公司部分股權折抵兩被告對原告及其有限合夥人湖北凱龍化工集團股份有限公司和中荊投資控股集團有限公司的全部債務合計人民幣44,707,654.3元(包括投資款差額部分人民幣30,324,254.3元、原告有限合夥人湖北凱龍化工集團股份有限公司的債權98.34萬元和原告有限合夥人中期投資控股集團有限公司的債權人民幣450萬元)。
(3)各方同意重新改組被告國安荊門公司的董事會。
(4)在完成上述股權轉讓和董事會的工商變更登記手續後，各方應積極引進第三方投資方，儘早恢復被告國安荊門公司的生產經營。
公司表示，公司實際出資金羿凱龍1,114.52萬元，出資比例為15.58%。公司依據該訴訟事項在2018年度報告中已確認預計負債1,298.63萬元；此次簽署的和解協議履行完畢後，預計對公司2019年度經營業績產生一定正向影響，具體影響金額待和解協議相關事項執行完畢後確認。
