中國建築(601668.SH):控股股東向公司提供委託貸款
格隆匯12月23日丨中國建築(601668.SH)公佈,公司與公司控股股東中國建築集團有限公司以及中建財務有限公司簽署《委託貸款合同》,以委託貸款形式接受中央國有資本經營預算資金人民幣20億元。貸款期限5年,貸款年利率為3.8%。
為滿足國撥資金使用要求,統一20億元國撥資金的管理,中國建築擬在償還前述14億元國撥資金委託貸款後,由公司與中建集團及中建財務公司籤署《委託貸款合同》,中建集團將通過中建財務公司將20億元國撥資金統一以委託貸款方式投入中國建築,待中國建築有增資擴股計劃時,再將20億元委託貸款通過合規程序轉為增資款。
此次委託貸款由公司控股股東中建集團提供,構成公司關聯交易事項,此次關聯交易不構成《上市公司重大資產重組管理辦法》規定的重大資產重組。
