粵傳媒(002181.SZ)受讓子公司新媒體公司所持大洋網100%股權
格隆匯12月23日丨粵傳媒(002181.SZ)公佈，為進一步推進公司)系列媒體轉型升級，理順公司法人治理架構，公司下屬全資子公司廣州日報新媒體有限公司(“新媒體公司”)已於近期將其持有的廣州市交互式信息網絡有限公司(“大洋網”)100%股權全部轉讓給公司。此次轉讓完成後，大洋網將從公司的全資孫公司變更為全資子公司。
廣州市交互式信息網絡有限公司經營範圍：軟件開發；網絡技術的研究、開發；計算機技術開發、技術服務；商品批發貿易(許可審批類商品除外)；商品零售貿易(許可審批類商品除外)；廣告業；商品信息諮詢服務；電子、通信與自動控制技術研究、開發；網上新聞服務；網上圖片服務；網上讀物服務；網上視頻服務；增值電信服務(業務種類以《增值電信業務經營許可證》載明內容為準)。大洋網近日完成了工商變更登記手續，並領取了新的營業執照。
公司將全資孫公司大洋網變更為全資子公司，提升其在公司系列媒體業務中的戰略地位和重要性，是公司資源整合和戰略發展的需要。公司通過大洋網，及大洋網旗下手機大洋網、廣州生活英文網、廣報匯App、多媒體數字報紙和各平台公號等產品，共同組成大洋網新媒體矩陣，打造公司新媒體矩陣頭部平台。目前大洋網媒體移動化、數字化發展規劃已初顯成效，作為公司新媒體發展及產媒融合的先鋒，大洋網在新媒體區域資訊服務、報網互動融合方面已取得顯著成果。
通過產權轉讓提升大洋網管理層級，有助於做實系列媒體轉型的組織架構，理順公司法人治理架構，實現“產媒融合”，激發發展活力。同時在一定程度上優化公司治理運作體系，按照“圍繞文化產業，着力推動產業經營多元化發展”的戰略路徑，集中優勢資源，打造公司轉型的“實驗區”，推動公司向現代新型傳媒集團以及現代新型文化集團的戰略轉型。
此次股權轉讓為公司與全資子公司之間的內部股權轉讓，不會變更公司的合併報表範圍，不會對公司未來的財務狀況和經營業績構成影響。
