光庫科技(300620.SZ)擬調整意大利全資子公司投資金額並向香港子公司增資
格隆匯12月23日丨光庫科技(300620.SZ)公佈，公司於2019年12月4日召開第二屆董事會第十六次會議審議通過了《關於投資設立意大利全資子公司的議案》，同意公司投資3000萬美元在意大利設立全資子公司，其中：1700萬美元用於收購Lumentum位於意大利San Donato及其代工廠的LiNbO3(鈮酸鋰)系列高速調製器產品線相關資產(“調製器產品線相關資產”)；其餘1300萬美元用於前期税費及後期運營。
為便於實施收購和提高後續資產運營效率，公司擬調整意大利全資子公司的投資金額，並對香港全資子公司光庫通訊有限公司(“香港子公司”)進行增資，由意大利全資子公司和香港子公司共同實施上述資產收購和後期運營，總投資金額不變，具體情況如下：
1、1700萬美元用於資產收購
(1)投資925萬美元用於意大利全資子公司實施對Lumentum在意大利的調製器產品線相關資產的收購；(2)向香港子公司增資775萬美元，用於實施對Lumentum在代工廠的調製器產品線相關資產的收購。
2、1300萬美元用於前期税費及後期運營
(1)投資1275萬美元用於意大利全資子公司的前期税費及後期運營；(2)向香港子公司增資25萬美元，用於香港子公司的前期税費及後期運營。
擬設立意大利全資子公司Advanced Fiber Resources Milan S.r.L.(暫定名)業務範圍：與光通訊相關的器件、模塊和子系統的技術開發、生產和營銷。
香港全資子公司業務範圍：光電器件的製造及貿易。
此次對外投資旨在實施對LiNbO3(鈮酸鋰)系列高速調製器產品線相關資產的收購，並開展相關業務的運營。通過此次對外投資，公司將充分利用LiNbO3(鈮酸鋰)系列高速光調製器芯片及器件在通訊和傳感領域的市場機遇和技術能力，憑藉公司在技術開發、質量管控、市場開拓、成本控制等方面的優勢，拓展並引領電信級LiNbO3(鈮酸鋰)系列高速光調製器芯片及器件產品市場，擴大生產規模並豐富產品線。
