聯眾(06899.HK)：撤銷股權轉讓協議
格隆匯12月23日丨聯眾(06899.HK)公佈，公司注意到南京好運的管理層未能及時向公司提供其由2019年4月至六月三個月的財務資料，作為集團編制綜合中期財務報表用途。同時董事會正在與南京好運的管理層進行持續的協商，並着手尋求法律意見，以保護公司的利益。
根據股權轉讓協議的條款而維護公司利益的仲裁程序，公司於2019年12月23日收到南京仲裁委員會作出具有約束力的仲裁裁決，仲裁小組決定撤銷股權轉讓協議，且各訂約方已回覆到各自訂立股權轉讓協議前的狀況。賣方已就公司未按時支付第二期現金代價向南京仲裁委員會發出聲明，且由於目標公司因其所有權變更後施行的經營改動，該目標公司的業務已趨下跌；而公司迴應稱，目標公司的前持有人未能按照股權轉讓協議的條款或目標公司的組織章程細則與公司合作，包括未能按時提供經營及財務資料、未能遵循營運指引，以及未能僅就釐定2018年業績保證是否已達標的目的製備以目標公司為對象的特殊目的財務審計。最後，南京仲裁委員會部分接納了訂約雙方的觀點，認為最適切的裁決為撤銷股權轉讓協議。此項仲裁裁決對訂約雙方均具有約束力，其條款預期在訂約雙方收到該仲裁決定起計30日內執行。
由於撤銷股權轉讓協議，南京好運股權的所有權將歸還賣方，而向賣方發行的15,555,556股代價股份將退還予公司作註銷，及總額為人民幣6040萬元現金將由賣方退還公司。
董事會注意到，倘若南京好運的管理層仍然未能提供財務資料作為集團編制綜合財務報表用途，則最終將可導致集團就截至2019年12月31日止年度的業績接獲有保留的審計意見。此外，南京好運的管理層一直未有遵循集團的營運指引，這可會對集團帶來(若然持續，將會導致)潛在的營運及合規風險，此外，這亦令公司較難通過南京好運的業務營運實踐相關的未來戰略。因此，董事會認為撤銷股權轉讓協議符合公司及其股東的整體最佳利益。有關撤銷亦為公司提供了人民幣6040萬元的現金，將用作改善及發展公司的棋牌遊戲業務以及通過AESE運營的電競和WPT業務。
