四川成渝(601107.SH)：聯合體擬48.28億元收購境外資產
格隆匯12月23日丨四川成渝(601107.SH)公佈，公司與招商公路、CMU、浙江滬杭甬、寧滬高速、皖通高速擬作為聯合體成員共同出資成立合營公司，以收購境外標的公司51%的股權及賣方對標的公司51%的股東債權。根據合作協議，合營公司的註冊資本為6.885億美元(摺合人民幣約48.28億元)，其中四川成渝擬出資4819.5萬美元(摺合人民幣約3.38億元)，持股7%。
聯合體成員將通過其各自於香港註冊成立的全資子公司，在香港設立一家SPV公司即合營公司，合營公司將在馬耳他設立一家SPV公司即聯合體馬耳他SPV，聯合體馬耳他SPV將進一步在愛爾蘭共和國設立一家SPV公司即聯合體愛爾蘭SPV，以完成境外資產收購。
標的公司：ICA公司擁有位於土耳其伊斯坦布爾的博斯普魯斯第三大橋及北部高速公路之特許經營權。ICA公司原有兩名股東為IC Icta與Astaldi S.p.A.(“Astaldi”)。前者持有ICA公司80%股權，後者持有ICA公司20%股權。IC Icta將在收購Astaldi所持ICA公司20%股權及相關股東債權而成為ICA公司全資股東後，向聯合體轉讓其所持有的ICA公司51%股權和其對ICA公司的51%股東債權；
IC Icta的關聯方將通過其香港控股公司Pacific OpCo設立香港控股子公司Eurasia OpCo，Eurasia OpCo將通過其愛爾蘭控股公司持有位於土耳其的新設子公司100%股權(即新設博斯普魯斯第三大橋及北部環線的運維業務實體公司)。Pacific OpCo將向聯合體轉讓其持有的Eurasia OpCo51%股權。
該交易提供了聯合體成員強強聯合的契機，並將受益於賣方在土耳其運營、管理及開發高速公路方面的深厚專業知識和所產生的規模經濟效益。參與此交易將推動聯合體成員優化資源配置，完善戰略佈局。
