眾應互聯(002464.SZ)擬獲雲天興禹認購不低於3億元股份 公司註冊地址將遷入國家級霍爾果斯經濟開發區兵團分區
格隆匯12月23日丨眾應互聯(002464.SZ)公佈，公司(“丙方”)近日與新疆生產建設兵團霍爾果斯經濟開發區兵團分區管委會(“甲方”)、新疆雲天興禹開發建設有限公司(“乙方”)簽署了《合作框架協議》。合作框架協議的主要內容如下：
(一)各方擬在互聯網電子商務等領域展開廣泛和深入的合作。如丙方實施非公開發行股票，乙方擬以現金形式認購丙方定向非公開發行的股份，認購金額不低於人民幣3億元。
(二)甲方及乙方承諾將積極協調新疆當地政府及金融機構資源，在政策允許範圍內給予丙方成本最優的授信額度，在丙方符合銀行機構相關政策的情況下，為丙方提供不低於5億元人民幣融資資金支持，用於丙方補充流動資金及發展業務，丙方以旗下控股公司股權作為質押，具體質押比例以滿足銀行等金融機構融資需求為準。
(三)各方承諾積極推進並完成上述合作事項，丙方應按照法律法規等規定的程序將其註冊地址遷入國家級霍爾果斯經濟開發區兵團分區，並在履行審批決策程序後及時啟動遷址工作，甲方應提供必要的支持，遷址成功後，將實現霍爾果斯經濟開發區兵團分區A股上市公司“零”的歷史性突破。
(四)各方擬在包括但不限於丙方業務發展領域，共同開發開拓立足新疆，面向歐亞等國家的互聯網電子商務產業，為“一帶一路”和“數字絲綢之路”建設以及新疆的經濟增長注入新動力。
各方同意，在甲方轄區內新建跨境電商產業園，名稱暫定“眾應互聯霍爾果斯跨境電商產業園”，產業園項目享受甲方園區的税收、土地等優惠政策，大力推動新疆跨境電商產業、現代物流產業及互聯網產業的發展。
各方同意，引入國內知名基金管理人合作設立互聯網文化產業引導基金，基金規模10億元，優先投資支持園區內的企業發展。
該合作協議為雙方開展戰略合作的框架性文件，如合作協議涉及的公司實施非公開發行股票，合作方擬以現金形式認購公司定向非公開發行的股份最終完成，公司將引進戰略股東，優化公司現有的股東結構。
該合作協議的簽署對公司現有業務暫無重大影響，但隨着該合作協議具體內容進一步推進，將有助於雙方優勢互補，共同做大做強產業規模。如獲得新疆當地政府及金融機構資源的資金支持，公司取得最優的授信額度，可以提高公司的財務能力，疏解償債壓力，補充流動資金，優化資產負債結構。
