宗申動力(001696.SZ)擬向宗申航發公司增資2.23億元
格隆匯12月23日丨宗申動力(001696.SZ)公佈，為加快公司戰略轉型升級步伐，快速提升公司全資子公司—重慶宗申航空發動機製造有限公司(“宗申航發公司”)的經營規模和市場競爭力，穩步推進宗申航發公司分拆上市的資本運作規劃，公司擬以自有資金與重慶宗航企業管理合夥企業(有限合夥)(“宗航合夥企業”)按照1元/股價格對宗申航發公司實施增資擴股。
此次增資金額合計人民幣2.3億元：其中公司出資2.23億元，宗航合夥企業出資700萬元。增資完成後，宗申航發公司註冊資本由7000萬元增至3億元。增資完成後公司將持有宗申航發公司97.67%的股權，宗航合夥企業將持有宗申航發公司2.33%的股權。宗申航發公司成為公司控股子公司，其財務報表仍納入公司合併財務報表範圍。
鑑於宗航合夥企業的合夥人包含公司董事兼總經理黃培國、公司副總經理周丹(執行事務合夥人)，根據《深圳證券交易所股票上市規則》第10.1.3條等規定,此次增資行為構成關聯交易。
重慶宗申航空發動機製造有限公司經營範圍：無人機發動機及其零部件、通用航空發動機及其零部件、船用柴油發動機及其零部件和螺旋槳的設計、研發、生產、銷售、維修、技術服務、售後服務；無人機的設計、研發、生產、銷售、維修、技術服務、售後服務；民用航空器的設計、研發、生產、銷售、維修、技術服務、售後服務(以上須經審批的經營項目,取得審批後方可從事經營)；發動機相關配套設備、工具和模具的製造與銷售；發動機檢測系統、發動機控制系統的研發、銷售及售後服務；環境試驗設備的製造、銷售及售後服務；貨物和技術進出口。
此次增資是基於公司在航空動力產業的戰略佈局，以及滿足宗申航發公司經營發展需要。通過多年的培育和投入，現宗申航發公司的技術和產品在航空活塞發動機領域屬國內前沿，在點燃式重油發動機技術方面已達到業內領先水平，多款航空動力產品已完成技術定型和裝機測試；同時，宗申航發公司與業內知名研發機構、上下游企業構建了良好的合作關係，研發實力、技術儲備及市場前景較好，客户渠道和供應鏈體系已初步構建完成，預計未來三年銷售收入和盈利能力將穩定增長。
此次增資後，宗申航發公司將繼續加大在新品研發、市場拓展及科研實驗等方面的投入，完善航空發動機產品譜系和加快產業化進度。基於國內外諸多因素和產業背景，公司預計未來航空發動機產業的國產化需求將快速提升，自主可控的國產動力將成為產業長期趨勢。同時，經對照中國證監會頒佈的《上市公司分拆所屬子公司境內上市試點若干規定》等法規，宗申航發公司符合科創板政策定位，未來具備分拆上市的可行性。公司後期將積極響應政策要求，聚焦宗申航發公司業務發展和市值培育等工作，力爭在 2021年達到分拆上市的申報條件。因此，此次增資符合國家政策導向和公司戰略發展方向，不存在重大投資風險，對公司經營業績及戰略升級轉型都將帶來積極影響。
