神開股份(002278.SZ)：股東映業文化股權結構已發生變更
格隆匯12月23日丨神開股份(002278.SZ)公佈，公司於2019年12月7日披露了股東四川映業文化發展有限公司(“映業文化”)的股權結構發生了變化。近日，公司收到信息披露義務人谷墨海提交的《詳式權益變動報告書》，告知公司映業文化的股權結構已發生如下變更：
根據信息披露義務人提交的《詳式權益變動報告書》，映業文化目前直接持有2520.448萬股公司股份，佔公司總股本的6.93%，通過其與上海業祥投資管理有限公司(“業祥投資”)2018年2月22日簽訂的《表決權委託協接持有4757.7481萬股公司股份對應的表決權，佔公司總股本的13.07%。
但《權益變動報告書》未説明映業文化控股股東發生變化後，上述《表決權委託協議》的效力問題，也未提供此次權益變動後業祥投資關於該等表決權委託事項的確認文件。
截至公告發出之日，映業文化及業祥投資持有的公司股份存在如下權利限制情況：
1)映業文化持有的2520.448萬股公司股份(佔公司總股本的6.93%)，存在被上海市閔行區人民法院司法凍結的情形。此外，其中2385萬股公司股份已於2018年5月22日質押給江西省科特投資有限公司。如因司法判決導致上述股權的所有權發生變更，則映業文化將失去所擁有的上市公司6.93%的股份對應的表決權。
2)業祥投資持有的4757.7481萬股公司股份(佔公司總股本的13.07%)，存在被上海公安局長寧分局、杭州市濱江區人民法院、上海市第二中級人民法院司法凍結及輪候凍結的情形。此外，其中4200萬股公司股份已於2016年2月2日質押給海通證券股份有限公司。如因司法判決導致上述股權的所有權發生變更，則業祥投資將失去所擁有的上市公司13.07%股份所對應的表決權。
綜上，映業文化存在因司法判決而喪失其上市公司股東身份的可能性，進而導致上市公司股權結構發生重大變動，敬請投資者關注相關風險。
映業文化與公司自然人股東、董事長李芳英關於股權轉讓事項的仲裁案件目前仍在執行之中。根據公司瞭解到的情況，因映業文化未按執行通知書指定的期間履行生效法律文書確定的給付義務，上海市第一中級人民法院日前已向映業文化及其法定代表人谷墨海先生發出了限制消費令，限制其不得實施非生活和工作必需的消費行為。
此次權益變動不會使公司控股股東及實際控制人發生變化，公司仍然處於無實際控制人狀態。
