川潤股份(002272.SZ)擬4125萬元收購歐盛液壓75%股權
格隆匯12月23日丨川潤股份(002272.SZ)公佈，公司以流體控制技術引領為公司使命。為進一步優化產業鏈佈局，促進公司快速、高質量發展，經公司第五屆董事會第十一次會議審議，公司擬自籌資金出資4125萬元,收購啟東佳康機電設備經營部(普通合夥)、俞傑、李亞斌、餘建華合計持有的江蘇歐盛液壓科技有限公司(“歐盛液壓”)75%股權。交易完成後，公司將持有歐盛液壓75%股權，歐盛液壓成為公司控股子公司。
江蘇歐盛液壓科技有限公司經營範圍：通軸高壓柱塞泵、液壓閥、液壓系統設備製造、銷售，自營和代理一般經營項目商品和技術的進出口業務。(依法須經批准的項目，經相關部門批准後方可開展經營活動)。
此次收購公司歐盛液壓主要從事液壓柱塞泵的研發與生產。液壓柱塞泵是液壓行業最核心的元件之一，被喻為液壓系統的心臟。經過長期的發展，歐盛液壓系列產品廣泛應用於冶金、工程機械、農用機械等行業。比較分析國外行業發展趨勢和優秀公司產品體系，如博士力士樂、伊頓、派克漢尼汾和川崎重工等，主要以元輔件為核心產品，再部分向系統集成延伸，其核心元輔件包括液壓泵、液壓閥、馬達、連接件和過濾器等產品毛利率均較高。
此次收購完成後，歐盛液壓將作為川潤股份流體控制版塊的核心業務單元，重點支持下協同發展。對川潤股份而言，此次交易將進一步強化核心競爭力，提升利潤率，並促進公司高質量發展。
標的公司地處江蘇省啟東市，具有較好的產業配套基礎。目前川潤股份有大量客户、供應鏈合作單位位於華東片區。交易完成後，公司將以歐盛液壓為華東區域重要產業基地，進一步加大核心元輔件類產品研發，同時對公司現有業務單元進行優化配置，促進公司區域協調發展。
液壓行業發展，除了高投入研發外，還需要工藝迭代和精益生產，一般需要較長時間的轉化，而高端產品目前依然為國外核心公司壟斷，行業護城河較高。通過此次收購，公司將逐漸向核心元輔件突破，未來將在技術研發和投資併購持續投入，不斷提升核心競爭力。
