華錦股份(000059.SZ)：工程公司公開掛牌增資事項已辦理工商變更手續
格隆匯12月23日丨華錦股份(000059.SZ)公佈，公司於2019年8月9日召開六屆二十四次董事會，審議通過了《關於公司子公司遼寧華錦化工工程有限責任公司增資的議案》。公司全資子公司遼寧華錦化工工程有限責任公司(“工程公司”)擬通過在上海聯合產權交易所公開掛牌增資擴股引入一名投資人，工程公司現有註冊資本917.77萬元，本次增資底價以經備案的淨資產評估值為基礎計算。本次增資擬增加註冊資金合計3082.23萬元，其中1882.23萬元由公司原股東北方華錦化學工業股份有限公司進場非公開協議增資，新進股東增加註冊資金1200萬元通過上海聯合產權交易所公開掛牌方式引進。增資完成後遼寧華錦化工工程有限責任公司的註冊資本為4000萬元人民幣。原股東北方華錦化學工業股份有限公司持股比例為70%，新進股東持股比例為30%。
工程公司於2019年8月19日起在上海聯合產權交易所有限公司公開掛牌徵集增資的意向投資方。2019年10月18日，掛牌期止，共徵集到一家符合報名資格的意向投資方盤錦市雙台子區經濟開發投資有限公司。
2019年10月24日，公司作為工程公司原股東與盤錦市雙台子區經濟開發投資有限公司及遼寧華錦化工工程有限責任公司三方簽署了《增資擴股協議》。華錦股份以實物出資方式進行增資，增資金額為1920.12萬元，其中1882.23萬元計入註冊資本，37.89萬元計入資本公積，增資後持有工程公司70%股權；盤錦市雙台子區經濟開發投資有限公司認購工程公司股權金額為1224.16萬元，認購註冊資本數為1200萬元，24.16萬元計入資本公積，增資後持有工程公司30%股權。雙方已於近日辦理工商變更手續。
為積極推動混合所有制經濟改革，進一步提升工程公司競爭力，擴大工程公司規模，充實工程公司資金實力，實現戰略佈局，進一步優化工程公司財務結構、提高工程公司盈利水平和抗風險能力。
此次工程增資完成後，公司持有工程公司股權比例為70%，不會影響公司對其控制權與合併報表範圍，不會對公司財務及經營狀況產生重大影響。
