大唐發電(00991.HK)就計提資產減值準備事項收到上交所問詢函
格隆匯12月20日丨 大唐發電(00991.HK)公告，於2019年12月20日，收到上海證券交易所上市公司監管一部《關於對大唐國際發電股份有限公司計提資產減值準備相關事項的問詢函》(上證公函【2019】3126號)。現將問詢函具體內容公告如下：
“大唐國際發電股份有限公司：2019年12月20日，公司提交公告稱，擬對公司(母公司)及下屬子公司內蒙古大唐國際再生資源開發有限公司(以下簡稱再生資源公司)的長期股權投資、固定資產計提減值準備，其中對再生資源公司氧化鋁生產車間部分資產計提減值準備約12.58億元，同時公司作為母公司層面計提長期股權投資減值準備約7.5億元。經事後審核，根據《上海證券交易所股票上市規則》第17.1條，現有如下問題請公司核實並補充披露。
一、請公司補充披露本次資產減值有關情況：(1)涉及減值的氧化鋁生產車間資產的具體信息，包括資產具體類別及名稱，轉固或購置時間，資產賬面原值、累計折舊及賬面價值，本次減值金額、減值原因和後續處置安排等；(2)結合固定資產實際使用情況，補充説明固定資產減值跡象的出現時點、於本期計提資產減值的原因及合理性，是否存在前期計提不足的情形；(3)補充披露上述固定資產減值測試的方法及過程，包括資產組或資產組組合認定、主要參數選取及依據等情況，説明計提金額是否準確、恰當，是否符合會計準則相關規定。請審計機構、評估機構發表明確意見。
二、前期，公司於2018年12月6日公告，以零對價受讓上海朵邁環保科技共2頁第2頁中心(有限合夥)(以下簡稱上海朵邁)所持再生資源公司49%股權並使其成為公司全資子公司，同時對其開展債務重組等綜合治理方案，停產氧化鋁分廠並補足27.37億元資本金。請公司補充披露：(1)公司及公司董監高與交易對方上海朵邁及其實際控制人是否存在關聯關係；(2)請公司結合前期公告的綜合治理方案內容和本次評估情況，補充説明本次資產減值是否在前期方案預計範圍內及原因，以及是否存在信息披露前後不一致的情形。
三、前期公司於10月31日公告，以協議方式受讓控股股東大唐集團持有的呼和浩特熱電公司少數股東股權，交易價格1782.03萬元，同時由再生資源公司吸收合併呼和浩特熱電公司。請公司補充披露：(1)再生資源公司完成上述交易後，短期內進行大額減值的原因及合理性；(2)前期吸收合併的呼和浩特熱電公司相關資產是否存在減值跡象，如是，請説明具體情況。請你公司於2019年12月21日披露本問詢函，並於2019年12月27日前，以書面形式回覆我部並披露回覆內容。”
