格隆匯12月20日丨澳柯瑪(600336.SH)公佈,2019年12月20日,公司七屆二十次董事會審議通過了《關於控股子公司出資設立合資公司並參與國有建設用地使用權競拍暨合作開發的議案》。根據公司控股子公司青島澳柯瑪智慧園區有限公司(“智慧園區公司”)經營發展需要,為了保證位於青島市嶗山區株洲路信息產業園項目的整體配套,提升信息產業園潛力價值,並獲得較好投資回報,同意由智慧園區公司與成都灝柏和駿置業有限公司共同出資設立青島澳柯瑪藍光國際人力科技園有限公司,共同參與原青島澳柯瑪信息產業園有限公司(“信息產業園公司”)西區地塊國有建設用地使用權的競拍及合作開發科技人才公寓及配套服務項目。

智慧園區公司此次出資設立合資公司並參與相關地塊競拍暨合作開發事宜總體所需資金預計不超過4.9億元

此次競拍目標地塊為青島市嶗山區株洲路約58畝,土地編號:【1-C0183#】(暫定,未來以政府批准的編號為準);年限:商業部分40年,住宅70年;容積率:容積率不高於3.7,商住比2:8,限高80米以內,建築密度≤30%,綠地率≥30%;規劃地上建築面積:住宅建築面積約112800平方米,商業建築面積約28000平方米,合計約140000平方米;配建用地面積不少於4500平方米、建築面積不少於2800平方米的6班制幼兒園(同步建設並按成本價移交相關部門);地上、地下停車位約1568個。地上住宅分攤土地面積:住宅約27500平方米,地上商業約6900平方米。

土地用途:城鎮住宅(產權型人才公寓)、餐飲、零售商業、商務金融及其它商務、旅館。

目前智慧園區公司為信息產業園公司的全資子公司,此次董事會審議通過後,信息產業園公司將持有智慧園區公司92%的股權,其餘8%股權由青島澳柯瑪創新加速器有限公司持有,公司持有信息產業園公司55%股權,智慧園區公司為公司間接控股子公司。

智慧園區公司進行此次交易,是基於為信息產業園公司一期項目進行配套服務,是在當前市場環境下,結合實際情況,並充分考慮風險因素的基礎上做出的投資決策。有利於保持澳柯瑪信息產業園孵化器項目的整體性,有利於其增加利潤來源、拓展業務,符合公司及全體股東的根本利益。同時,智慧園區公司進行本次交易的資金來源為自有資金和向信息產業園公司借款,對上市公司主營業務尤其是製冷主業不會產生重大影響,對上市公司當期業績不會產生重大影響。
