吉林森工(600189.SH)子公司擬7637.05萬元購買162套房產產權及30個地下車位使用權
格隆匯12月20日丨吉林森工(600189.SH)公佈，公司全資子公司吉林隆泉實業有限公司(“隆泉公司”)購買吉林省天匯房地產有限責任公司(“天匯公司”)158套房產產權，30個車位使用權和吉林省吉森房地產開發有限責任公司(“吉森房產”)4套房產產權。此次交易金額合計為7637.05萬元。
此次交易對方天匯公司為公司控股股東中國吉林森林工業集團有限責任公司(“森工集團”)全資子公司吉林森工開發建設集團有限公司(“建設集團”)的全資子公司，吉森房產為森工集團的控股子公司，此次交易構成關聯交易。
此次交易標的為162套房產的產權和30個地下車位的使用權。具體如下：
1、天匯公司共158套房產，30個車位。其中：公寓156套，位於長春市吉森藍色港灣項目建築面積8302.49平方米；門市2套位於長春市吉森藍色港灣項目建築面積241.32平方米；車位30個為長春市吉森藍色港灣項目地下配套車位。
2、吉森公司4套門市(產權)，位於長春市吉森漫樺林一期建築面積共980.67平方米。
3、以上房產為一手商業用房，建築面積合計9524.48平方米(最終以房屋產權證為準)，均取得了《土地使用權證》、《建設用地規劃許可證》、《建設工程規劃許可證》、《建築工程施工許可證》、《商品房預售許可證》等文件，不涉及訴訟、仲裁事項或查封、凍結等司法措施，不存在妨礙權屬轉移的其他情況。
此次購買房產位於長春市二環內核心地段，所購買的門市和公寓可作為公司所屬企業在長春市的辦公、產品展示、銷售基地，對公司後續經營將產生積極的影響。
此次購買房產的資金來源為公司向隆泉公司提供的借款，為公司自有資金，對公司日常經營的現金流轉、財務狀況和經營成果不會產生重大影響。同時，此次關聯交易價格以評估價確定，交易價格公允，不存在損害公司及股東利益的情形。
