中國恆天立信國際(00641.HK)：將於2020年協商加快推進城市更新項目進程的可行性方案
格隆匯12月20日丨中國恆天立信國際(00641.HK)公佈，於2014年3月28日，公司間接全資附屬公司立信染整深圳與一名第三方("項目公司")訂立合作協議，以城市更新方式將立信染整深圳位於中國深圳龍崗區佔地約113,932平方米的現有土地重新發展。
根據該協議，雙方已指定項目公司擔任城市更新項目之唯一開發實施主體，並具有唯一權利根據該協議之條款重新發展及重建該土地。項目公司負責取得中國政府批准城市更新項目下擬進行之重新發展及重建工程，包括清拆現有物業、設計、興建、完成及營運擬於重新發展該土地上建設之設施，以及支付與此有關之一切費用(包括重建開支、裝修費用及地價)。立信染整深圳負責提供該土地。
作為該協議一部分，立信染整深圳將獲得(通過拆遷補償)(i)現金人民幣10億元(分五期)；及(ii)將建於重新發展該土地上總建築面積約為30,000平方米之設施物業(以及額外的至少100個車位)，以替代該土地上部分現有物業(總建築面積約為29,391平方米)。
於2014年12月22日、2016年9月30日及2017年9月29日，立信染整深圳已先後收取第一期、第二期及第三期付款各人民幣1億元。根據該協議，第四期人民幣3億元須於項目公司獲深圳有關政府機關指定為城市更新項目唯一開發實施主體起計30天內支付，而第五期人民幣4億元須於項目公司與有關政府機關簽訂土地使用權轉讓合同並登記其為該土地之土地使用權擁有人起計30天內支付。
誠如項目公司所告知，由於中國政府就管理深圳的城市更新項目出台多項措施，估計取得深圳有關政府機關就將項目公司登記為城市更新項目的唯一開發實施主體的批准將較預期耗費更長時間。
另一方面，集團位於中國廣東省中山市的新廠房正開始分階段進行內部裝修及設備安裝。集團亦正與願意轉往中山市工作的現有職員及工人簽訂新的勞動合同，或與想要離職的人員解除勞動合同。就此而言，本集團已產生的搬遷開支包括生產設備的搬遷及組裝開支以及遣散費用。
鑑於以上所述，經友好協商後，集團與項目公司於2019年11月28日訂立一份協議，據此，項目公司同意於2019年12月31日前預付立信染整深圳額外人民幣5000萬元作為第四期的部分付款，而該付款已於2019年12月18日支付。立信染整深圳已收取的款項將用於支付搬遷開支及加強集團的現金流。雙方亦已同意將於2020年協商找出加快推進城市更新項目進程的可行性方案。
