美吉姆(002621.SZ)澄清：個別媒體將百司拓及其旗下其他品牌與美吉姆及美吉姆品牌進行了混淆
格隆匯12月20日丨美吉姆(002621.SZ)公佈，2019年12月19日，公司關注到媒體關於杭州百司拓控股集團有限公司(下稱“百司拓”)及杭州地區美吉姆國際兒童教育中心(下稱“美吉姆杭州中心”)的相關報道。其中，個別媒體將百司拓及其旗下其他品牌與美吉姆及美吉姆品牌進行了混淆，造成部分消費者對美吉姆杭州中心真實情況的誤讀。為了使廣大投資者瞭解相關情況，公司特此澄清説明如下：
1、所有美吉姆杭州中心均系美吉姆授權加盟中心，品牌授權方為公司控股孫公司天津美傑姆教育科技有限公司，各美吉姆杭州中心依法獨立運營。
2、公司在知曉美吉姆杭州中心加盟商之一樓某因其個人財務原因導致百司拓及其經營的其他品牌發生經營問題後，第一時間派出由總部多部門組成的應急處理小組對相關中心進行實地支持，以防止問題惡化。公司及其關聯方已經採取引入新投資人、賬户監管、調配師資等多種措施，全面接管了樓某加盟的所有美吉姆杭州中心的運營工作。截至目前，所有美吉姆杭州中心運營正常，會員與員工的合法權益能夠得到完全保障。上市公司權益不受影響。
3、部分媒體提到的百司拓旗下其他品牌收款憑證抬頭含“美吉姆”相關字樣，以及百司拓推出的所謂聯名卡等，經査均系加盟商樓某個人行為，與美吉姆和美吉姆品牌無關，公司將全力保障美吉姆會員的合法權益，並保留向加盟商樓某追究法律責任的權利。
4、美吉姆作為上市公司，各項運營均嚴格遵循相關法律法規，始終將確保所有中心規範運營作為第一要務。日前，上市公司已經啟動對全國中心的專項財務審計，逐一排查並消除隱患，確保中心運營合規和資金安全。同時，積極配合杭州市相關部門工作，做好調查取證、資金追繳等工作，妥善處置本次事件，併為相關中心會員與員工維權提供必要支持與幫助。公司也呼籲，各早期教育總部加強對所屬機構的監管，保障消費者權益，切實擔負起企業責任，共同維護行業健康穩定發展。對於個別機構藉機混淆視聽、製造恐慌、惡意抹黑上市公司品牌、誤導消費者和投資人的惡劣行徑，上市公司將依法向有關部門舉報，並保留追究法律責任的權利。
5、目前公司生產經營正常，日常經營情況未發生重大變化，不存在其他應披露而未披露的重大信息。公司將繼續關注相關媒體報道及事態發展，必要時將採取法律措施，維護投資者及公司的合法權益，歡迎社會各界監督。
