紫鑫藥業(002118.SZ)：共同簽訂工業大麻產業發展戰略合作框架協議書
格隆匯12月19日丨紫鑫藥業(002118.SZ)公佈，2019年12月19日，黑龍江省齊齊哈爾市甘南縣人民政府、齊齊哈爾市市場監督管理局與公司共同簽訂了《工業大麻產業發展戰略合作框架協議書》，根據齊齊哈爾市工業大麻產業戰略規劃、紫鑫藥業工業大麻業務發展需求，充分發揮紫鑫藥業工業大麻創新育種及多學科聯合攻關的優勢，三方在工業大麻育種、品種篩選、工業化種植、種植環境優化、加工提取、產業模式升級等方面進行全面合作。
項目總投資金額5億元，分五階段建設完成。第一階段：種子引進；第二階段：品種選育與種子技術研究(品種篩選與認定)；第三階段：室外種植、採收加工中試研究(種植備案/許可)；第四階段：工業化種植與擴繁研究；第五階段：加工提取及產業化模式升級(加工許可)。項目每個階段的研究結果將決定項目下一階段的完成，每個階段特定的條款和條件另行簽署具體補充合同，新的補充合同作為框架協議的附件。
公司全資子公司Fytagora公司，其前身為荷蘭皇家應用科學研究院（TNO）的應用植物科學部，在工業大麻領域，Fytagora公司是歐洲境內為數不多的允許合法進行大麻研究和開發的機構。Fytagora公司具有20多年植物研究的豐富經驗，公司在工業大麻領域主要的技術包括：工業大麻育種、工業大麻栽培、工業大麻生物活性成分研究和大麻中的化合物等。Fytagora公司擁有工業大麻乙醇提取的相關設備及經驗，可以用於大規模提取及高端應用的加壓溶劑萃取，被荷蘭福利和衞生部正式指派為藥用大麻的質量控制、生物活動和藥物活動等研發活動的合作伙伴。公司具備框架協議項下的基本履約能力。
工業大麻是指四氫大麻酚(THC)含量低於0.3%的大麻，其主要應用於醫藥、食品保健、農業種植、飼料等方面，工業大麻在國際上具有廣泛的藥用、保健等價值，在抗腫瘤、神經疾病等方面，在助眠、緩解緊張、焦慮及抑鬱症狀，減輕炎症以及各種疼痛等方面效果顯著，市場潛力巨大。
公司自進入工業大麻領域以來，雖在國外掌握先進的工業大麻種子育種、培育栽培等技術及豐富的提取、萃取等經驗，但仍受限於國內工業大麻合法合規種植地域限制，為加速佈局工業大麻領域和切實落地育種培育，公司與齊齊哈爾市甘南縣人民政府、齊齊哈爾市市場監督管理局共同簽署工業大麻合作協議。此次協議是公司綜合了工業大麻行業政策、合法合規地域、地方政府政策、地方人文習俗等多方面因素。公司本着實事求是、踏實落地、穩步推進的基本原則，充分利用發揮三方優勢，共同推進當地政府、企業的全面合作，形成專業、產業、政策相互促進、共同發展。同時，加快推動公司在國內工業大麻領域的佈局，有利於公司加快實施將國外工業大麻科技成果快速轉化為國內產業，有利於拓寬公司未來發展空間，為公司帶來新的利潤增長點，符合公司的戰略發展方向，對公司的生產經營產生積極影響。
