興蓉環境(000598.SZ)：聯合體擬與彭州國投共設項目公司並實施彭州市工業污水廠一期PPP項目
格隆匯12月18日丨興蓉環境(000598.SZ)公佈，近日，公司作為牽頭人與成都建工工業設備安裝有限公司(“建工安裝”)、公司全資子公司成都市排水有限責任公司(“排水公司”)組成的三方聯合體，成功中標彭州市工業污水廠一期PPP項目。
根據招標文件要求，三方聯合體將與政府出資代表彭州市國有投資有限公司(“彭州國投”)共同設立項目公司，由政府方授予項目公司該項目特許經營權，項目公司將按照PPP項目合同在特許經營期內負責該項目的投資、建設和運營。為此，公司擬與建工安裝、排水公司、彭州國投簽訂《項目公司股東協議》(“《股東協議》”)，該項目公司註冊資本為人民幣2000萬元，其中公司持股比例為83%，建工安裝持股比例為5%，排水公司持股比例為2%，彭州國投持股比例為10%。
項目公司名稱：彭州市成環水務有限責任公司(最終以市場監督管理部門核准登記為準)；經營範圍：污水處理和市政基礎設施的投資、建設和運營管理(不得從事非法集資、吸收公眾資金等金融活動)。污水處理項目和市政基礎設施的資本運作、資產經營管理(不含國家法律法規禁止、限制和許可經營的項目)、產品製造以及諮詢研究、開發和提供服務；環境監測；污水處理、水資源管理的技術諮詢、技術服務；貨物進出口、技術進出口。(依法須經批准的項目，經相關部門批准後方可開展經營活動)(最終以市場監督管理部門登記註冊為準)。
項目名稱：彭州市工業污水廠一期PPP項目；項目總投資：約約2.08億元，其中工業污水廠(廠內)估算投資約1.29億元，工業污水廠(廠外)估算投資4892.43萬元，市政道路估算投資2999.31萬元。
項目建設主要內容：1、工業污水處理廠：建設規模為1.5萬m3/d工業污水處理廠一座。選址彭州市致和鎮百祥村4組(第二污水處理廠旁)。2、廠外管線工程和市政道路：廠外建設1.02km城市次幹路以及12.2km截污幹管，幹管管徑DN800-DN1000。項目中標價：污水處理單價：5.626元/噸；資本金年收益率：8.00%；融資年利率上限：5.88%；運營維護利潤率：6.50%。
該項目位於成都彭州市，為公司重點拓展區域之一。此次設立項目公司並實施彭州市工業污水廠一期PPP項目，符合公司發展戰略和公司股東利益。項目建成運營後，將進一步擴大公司的污水處理業務規模及市場佔有率，豐富公司工業污水處理實踐經驗，並能為公司帶來新的利潤增長點，對公司未來經營業績產生積極影響。
