中國太平(00966.HK)附屬擬向中鐵建股份旗下4家附屬公司投資65億元
格隆匯12月18日丨中國太平(00966.HK)公佈，於2019年12月18日交易時段後，太平人壽（公司的非全資附屬公司）及中鐵建股份與目標公司訂立投資協定。據此，太平人壽同意按照投資協定項下的條款及條件以現金方式向目標公司投資合共人民幣65.0億元。
投資協定下擬進行的交易完成後，太平人壽預期將分別持有中鐵建投、中鐵崑崙、中鐵十一局和中鐵建設7.47%、17.27%、10.86%、8.49%的股權，目標公司將不會成為公司的附屬公司，其財務業績及狀況亦不會與集團的財務報表合併計算。
據悉，中鐵建股份為全球的特大型綜合建設集團之一，業務範圍包括工程承包、勘察設計諮詢、工業製造、物流與物資貿易及其他業務。中鐵建投及其子公司主要從事項目投資、投資管理、股權投資、工程總承包等。中鐵崑崙及其子公司主要從事大型基礎設施投融資項目的建設管理，所提供的主要服務為項目投資、投資諮詢、資產管理、工程項目管理、物業管理、市政工程及公路工程設計施工、建築工程設計與施工等。
中鐵十一局為一間在中國註冊成立的有限責任公司。中鐵十一局及其子公司主要從事建築施工，主要從事鐵路鋪架、複雜橋樑、長大隧道、新型鐵路橋樑、地鐵輕軌、“四電”工程施工及裝備製造等。中鐵建設為一間在中國註冊成立的有限責任公司。中鐵建設及其子公司主要業務板塊為基建版塊和物資貿易版塊等。
公司稱，中鐵建股份作為基建行業龍頭公司，在中國的高鐵、公路、房建領域具有絕對優勢，同時近年來受益於一帶一路戰略，在海外重大工程屢有斬獲。本次投資的四家目標公司，分別屬於中鐵建股份下屬建設和投資兩個業務的核心子公司，屬於中鐵建股份的最優質資產之在完成投資後，太平人壽與中鐵建股份及目標公司可發展全面的業務合作，會在保險、投資、海外等戰略有諸多協同合作，增進雙方的股東利益。
