九龍倉置業(01997.HK)擬收購新加坡烏節路購物帶中心優質物業 涉資64.2億港元
格隆匯12月18日丨九龍倉置業(01997.HK)發佈公告,2019年12月18日,Wharf Estates Limited(公司全資附屬公司)作為買方與Wheelock Investments Limited(會德豐的全資附屬公司)作為賣方訂立了買賣協議,據此,以總價款64.167億港元購入目標公司全部已發行股本及銷售借款。
目標公司Star Attraction Limited是一間投資控股公司,旗下有一間直接全資附屬公司Wheelock Singapore 及多間透過 Wheelock Singapore 持有的間接全資附屬公司。目標集團的主要資產包括位於新加坡著名的烏節路購物帶中心的優質投資物業,即 Scotts Square 和會德豐廣場,目標公司分別透過 Wheelock Singapore 及旗下一間全資附屬公司持有上述兩項物業。
Scotts Square 是位於新加坡史各士路一幅約5215.5平方米的永久業權地塊上的住宅連商場發展項目。作銷售用途的住宅發展部分 Scotts Square 住宅公寓包含兩幢住宅大樓共338個單位,當中28個單位尚未出售並由 Wheelock Singapore 持有。作投資用途的零售發展部分 Scotts Square 商場包含一個基座商場,總樓面面積約為12,161平方米。 Scotts Square 乃 Wheelock Singapore 於2004年9月以3.45億新加坡元所購入的地塊上重建的項目,並於2011年落成。
會德豐廣場位於新加坡烏節路與巴德申路繁忙交匯處一幅約7,847.3平方米的租賃地塊上,包含寫字樓、基座商場及停車場,總樓面面積約為43,265.6平方米。該建築物於1993年落成,租賃期餘下69年。會德豐廣場乃 Wheelock Singapore 的直接全資附屬公司於1990年9月以3.08億新加坡元的地價購入。
公告表示,該交易是一個難得一遇的機會讓公司擴展其優質投資物業組合並得到理想回報。新加坡經濟穩定,其特點為地理面積小,有利投資物業。該交易為公司帶來額外收入來源和收益。
