聯建光電(300269.SZ)子公司與重慶康佳研究院簽訂戰略合作框架協議
格隆匯12月18日丨聯建光電(300269.SZ)公佈，鑑於Mini LED 及Micro LED作為下一代顯示技術，相比較現階段的顯示技術解決方案具有更好的顯示效果和更高的性價比。公司全資子公司深圳市聯建光電有限公司(“聯建有限”)於2019年12月18日與重慶康佳光電技術研究院有限公司(“重慶康佳研究院”)簽訂了《戰略合作框架協議》，由聯建有限和重慶康佳研究院合作成立合資公司，主要從事MiniLED 及Micro LED大屏顯示產品研發、生產製造。該合資公司計劃投資金額為1億元，其中重慶康佳研究院持股40%，聯建有限持股40%，核心管理團隊持股20%。
重慶康佳研究院主營業務方向為開展Micro LED產品相關的產品研發、生產和銷售。公司為LED顯示屏行業排頭兵，擁有較強的研發創新能力，在LED領域積累了豐富的研發、生產、運營經驗和大量的國內外客户資源和銷售渠道資源，公司同時作為令人滿意的數字顯控系統提供商，有着更強的產品技術經驗及優勢。
重慶康佳研究院和公司全資子公司聯建有限共同簽署本協議，擬合資建立公司，成為核心戰略合作伙伴，將康佳在Mini LED和Micro LED上的先進技術優勢與公司的市場及客户資源優勢進行互補，加快Mini LED及Micro LED在公共視訊的商用化進程。預計合資公司的市場目標為佔領Mini LED新型顯示市場10%份額。
合作內容如下：
1、雙方擬共同出資成立一家主營業務為Mini LED 及 Micro LED大屏顯示產品研發、生產製造為主的有限責任公司(“合資公司”)，註冊資金1億元，重慶康佳研究院持股40%，聯建有限持股40%，管理團隊持股20%；
2、合資公司優先向重慶康佳研究院採購LED芯片等原材料，合資公司生產的成品優先銷售給聯建有限；
3、合資公司設立董事會，董事會5人，其中重慶康佳研究院委派2名董事且可提名首任董事長人選、聯建有限委派2名董事，持20%股權的管理團隊委派1名董事。
公司此次與重慶康佳研究院成立合資公司，藉助央企旗下控股企業的資本平台及影響力，進行基礎技術研究，佈局上游產業，同時利用公司的市場及客户資源優勢與重慶康佳研究院在Mini LED 和 Micro LED上的先進技術優勢進行互補。如此次戰略框架協議能夠順利執行，預計對公司後續生產經營產生重大積極影響。
