廣澤國際發展(00989.HK)擬3.05億港元出售香港九龍灣物業
格隆匯12月18日丨廣澤國際發展(00989.HK)公告,於2019年12月18日,公司與買方Jade Cloud Estates,Limited就有關潛在出售事項訂立意向書,公司(通過相關附屬公司)擬同意出售及買方擬同意收購每間目標公司Biara Investments集團和廣澤電腦全部已發行股本(即是根據買方對物業和每間相關公司的控股結構進行的盡職調查而得出的每個物業持有公司或其控股公司)和目標公司應付的股東貸款(如有),代價為3.05億港元。
物業指物業A,物業B,物業C和物業D統稱。物業A指九龍九龍灣常悦道9號企業廣場第一座20樓;物業B指九龍九龍灣常悦道9號企業廣場第二座20樓;物業C指九龍九龍灣常悦道9號企業廣場第三座20樓6;物業D指九龍九龍灣常悦道9號企業廣場1P樓A1至A14號停車位。
集團於1998年以1.39億港元收購物業。多年來,隨着公司控股股東的各種變動,這些物業已被保留並以投資物業用作為租賃用途,或自用作為辦公室。集團管理層已考慮到(i)九龍灣及附近地區的現行物業租賃市場;(ii)九龍東中央商務區最近有很多新的甲級建築物;(iii)香港最近的發展;認為出售物業是較適當的。預期代價為3.05億港元,集團將取得119.9%的投資回報。
此外,該物業目前已抵押並取得銀行貸款。根據該銀行的初步年度審查,該銀行已向集團的管理層表明,其打算要求本集團償還部分銀行貸款。監於上述要求以及與出售有關的釋放物業押金的前提條件下,本集團應提前償還銀行貸款。
