匯金股份(300368.SZ)擬561萬元轉讓匯金科技51%股權予雲深科技
格隆匯12月17日丨匯金股份(300368.SZ)公佈，河北匯金科技有限公司(“匯金科技”或“標的公司”)系公司控股子公司，公司持有其51%的股權。2019年12月17日，公司第四屆董事會第五次會議審議通過了《關於出售控股子公司河北匯金科技有限公司股權的議案》，同意公司以561萬元人民幣的價格向河北雲深科技有限公司(“雲深科技”或“交易對方”)轉讓公司所持匯金科技51%的股權。此次交易完成後，公司將不再持有匯金科技股權。
河北匯金科技有限公司經營範圍：節能設備、環保設備、家用空調調節器、光伏設備的研發、製造(僅限分支機構經營)、銷售、安裝及售後服務；儀器儀表、液力機械設備的研發、製造(僅限分支機構經營)及銷售；合同能源管理；污水處理及其再生利用；環境治理服務；環保工程施工；電力銷售；化學產品(危險化學品及易製毒化學品除外)的銷售；投資諮詢(金融、期貨、證券、保險、教育諮詢除外)(依法須經批准的項目，經相關部門批准後方可開展經營活動)
公司為進一步貫徹董事會制定的聚焦核心資產、核心業務、淨現金流，逐步退出非核心業務的經營指導規劃，轉讓持有的河北匯金科技有限公司51%股權，由此將集中優勢資源推進“金融機具—金融科技—金融服務產業鏈”升級戰略，加快推進公司整體業務由傳統金融機具向金融科技、金融服務升級。
通過此次交易有利於公司實現管理資源、資金投入、業務資源對核心業務的聚焦支持；同時有利於加快對公司非主營業務板塊對外投資現金回收，增加公司的運營資金。此次交易對公司正常生產經營無不利影響，符合公司長遠發展規劃，符合全體股東和公司利益。
此次交易不會影響公司的獨立性，公司主要業務或收入、利潤來源不依賴該交易。同時，此次交易遵循公開、公正、公平、合理的原則進行，不存在損害公司及股東特別是中小股東利益的情形。
此次交易完成後，匯金科技將不再納入公司合併報表範圍核算，預計整體影響合併報表 2019年歸屬於母公司淨利潤金額增加約為60萬元，不會對公司財務狀況和經營成果產生重大影響。
