禾望電氣(603063.SH)擬直接及間接收購歐伏電氣30%股權
格隆匯12月17日丨禾望電氣(603063.SH)公佈，公司全資子公司深圳市伏望科技有限公司(“深圳伏望”)擬以10482.3萬元(人民幣，下同)分別收購陳紅衞、張清合計持有的北京歐伏電氣設備有限公司(“北京歐伏”、“標的公司1”)36.44%股權，擬以3367.187萬元收購柯立軍持有的歐伏電氣股份有限公司(“歐伏電氣”、“標的公司2”)589.70萬股的股份，擬以915.884萬元收購嘉興兆勤昌瑞投資合夥企業(有限合夥)(“兆勤昌瑞”)持有的歐伏電氣160.40萬股的股份，擬以172.442萬元收購首創證券持有的歐伏電氣30.20萬股的股份，擬以57.10萬元收購世紀證券持有的歐伏電氣10.00萬股的股份。
此次收購完成後，公司通過全資子公司深圳伏望直接和間接合計持有歐伏電氣30%股份。
歐伏電氣主要從事配電及控制設備、通信機櫃等產品研發、設計、製造與銷售。歐伏電氣自成立以來通過自主研發和積累逐漸形成了配電及控制、電力電子、電源、冷卻、精密鈑金、非標自動化6個產品線，市場涵蓋新能源、電信、數據中心、工業自動化等領域，主要客户包括金風科技、歌美颯、Purcell System、NOKIA、西門子等，銷售風電變流器、光伏逆變器、發電機冷卻裝置、除濕器、電動汽車充電站、通信户外電源櫃、智能配電櫃等產品。
公司專注於電能變換領域，幫助客户實現高效、可靠、高品質的發電、用電和電能傳輸。公司以研發作為產品的競爭驅動力，並通過不同產品平台間的交叉與擴展，在多個應用工藝領域不斷豐富產品系列，主要產品風電變流器在除金風科技外的主要風機整機廠商中佔據較高的市場份額。通過本次交易，公司將直接和間接持有歐伏電氣30%股份。公司可利用自身優勢與歐伏電氣現有積累相結合，在風電變流器及相關新能源配套產品領域與歐伏電氣實現研發、生產和銷售的協同。
