格隆匯12月16日丨新鴻基地產(00016.HK)公佈,2019年12月16日,公司一間全資附屬擬向買方Somerpath International Limited出售目標公司Vivid Synergy Limited已發行股本的25%,代價為1.95萬港元,同時,公司另一全資附屬擬向買方轉讓9.39億港元的出售貸款,佔信明於緊接成交前欠貸款賣方的貸款的25%,代價為9.40億港元。

目標公司只限擁有、發展及營運將在該土地上興建的辦公大廈,並將實際地享有所有經濟權利及利益,及將實際上承擔一切責任及債務。成交完成後,目標公司仍為公司之附屬公司,其股份由股份賣方及買方分別以75%及25%的比例持有。公司(透過其多間全資附屬公司)將擁有、發展及營運將在該土地上興建的商業/零售部分,並將繼續單獨及實際地享有所有經濟權利及利益,及將單獨及實際上承擔一切責任及債務。

該土地為位於香港九龍連翔道與柯士甸道西交界,及/或將於土地註冊處註冊為九龍內地段第11262號的用地。該土地的發展將由(其中包括)商業/零售部分及辦公大廈部分組成,當中包括其各自指定的停車場及相關配套及設施。辦公大廈部分的樓面總面積現預期約為261,600平方米。

出售股份及出售貸款的代價乃各方參考出售股份的總面值、出售貸款的面值,以及集團就出售貸款的融資成本,經公平磋商後釐定。於緊接成交前,信明欠貸款賣方的貸款為37.58億元(出售貸款構成其中的25%),並主要用作墊付就獲授該土地而須支付土地金額422.32億港元的10%訂金當中信明的部分(即約88.98%)。88.98%的比率代表信明於該土地的權益百分比,於成交時,買方向信明給予保證,於2019年12月24日或之前,將墊付金額84.55億港元的貸款(佔信明於上述90%的土地金額餘額當中的25%)予信明。

買方之主要業務為投資控股。買方是一間由三間郭氏家族公司各自擁有其三分之一權益之公司。郭氏家族公司各自之主要業務為長線投資控股。集團有意邀請其他長線策略性投資者參與該土地之地標項目發展。郭氏家族公司多年來一直於公司股份持有重大權益,作為長線投資,其亦於多年來增持額外的公司股份權益。這令郭氏家族公司成為集團合適的策略合作伙伴,參與發展此將成為集團長線投資的地標項目。
