凱撒旅遊(000796.SZ)：6000萬元向參股公司真享悦理增資
格隆匯12月16日丨凱撒旅遊(000796.SZ)公佈，公司於2019年12月16日召開第九屆董事會第六次會議，審議通過了《關於全資子公司對參股公司增資暨關聯交易的議案》，公司董事會同意全資子公司凱撒同盛旅行社(集團)有限公司(“凱撒同盛”)以6000萬元向參股公司北京真享悦理文化發展有限公司(“真享悦理”或“標的公司”)增資，全部計入註冊資本，此次增資完成後凱撒同盛將持有真享悦理43.77%的股權。
因公司副總裁兼董事會祕書魏靈在真享悦理擔任董事，根據《股票上市規則》及相關規定，此次增資事項構成關聯交易。
真享悦理作為一家定位於全球化海外生活服務的跨境資產配置企業，主要面向高淨值人羣提供海外移民、海外接待、海外教育、財富管理的一站式海外服務提供商。公司以提供投資移民標的為核心，通過滿足客户不同階段、不同方面的需求，形成高粘性閉環式產品組合及服務。由專業團隊為客户提供投資移民、税務規劃、養老醫療、留學規劃、名校申請等產品服務，同時，提供房產維護、出租、物業服務、安家等全方位境外服務，為客户帶來安全，便捷，貼心的一站式海外生活服務。目前主要分支機構及業務覆蓋愛爾蘭、馬耳他、希臘等15個國家和地區，與20多國政府、房地產開發商、律師樓、金融、醫療機構等達成戰略合作關係，在北京、上海、成都、瀋陽、長春、大連、廣州等地建立起7家分支機構，與多家實力雄厚的異業機構建立了合作關係。
此次增資完成後將進一步加深雙方的合作關係，考慮真享悦理的目標客户與公司具有高度相似性，後續公司將能夠利用自身成熟的營銷體系和銷售渠道，助力真享悦理客户增長，同時公司也將藉助真享悦理為客户羣體提供增值服務，進一步增強旅遊客户粘性，雙方通過未來在業務層面上的優勢資源合作，更好地提升市場競爭力。而且真享悦理目前業務發展較快，處於成長上升階段，此次增資可以一定程度上滿足其業務發展上的資金需求，同步為公司帶來增資後的投資收益。
