三聚環保(300072.SZ)擬斥3億元設立全資子公司 推進綠色發展戰略佈局
格隆匯12月16日丨三聚環保(300072.SZ)公佈，公司於2019年12月16日召開的第四屆董事會第三十五次會議審議通過了《關於公司擬投資設立全資子公司的議案》，根據公司綠色發展的戰略佈局，為了儘快啟動以懸浮牀加氫技術(MCT技術)為核心的生物柴油項目，實現公司綠色能源產業轉型和專業化發展，公司擬使用自有資金人民幣3億元對外投資在山東設立全資子公司山東三聚生物能源有限公司(暫定名，以企業登記機關最終核准結果為準)。
山東三聚生物能源有限公司經營範圍：酸敗油、酸化油、地溝油、潲水油、木焦油、脂肪酸甲酯、工業用動植物油脂、廢棄食用油脂、廢棄動植物油脂、食品加工業廢食用油、植物焦油、廢機油、廢潤滑油等回收、加工(處理後的油脂僅限工業用)；生物溶劑油、生物石腦油、生物柴油、生物航空煤油、生物船用燃料油、生物瀝青、生物燃料油、生物白油、液體蠟、潤滑油基礎油、液體石蠟、甘油、丙二醇、添加劑等的生產、倉儲和銷售，動植物油脂加工、生物質能源、石油化工、催化劑等技術及成套設備的研發、推廣、技術諮詢、技術服務和技術轉讓；自營和代理各類貨物及技術的進出口業務(國家限定企業經營或禁止進出口的商品和技術除外)；(依法須經批准的項目，經相關部門批准後方可開展經營活動)。
此次對外投資設立全資子公司，目的為推進公司綠色發展戰略佈局，實現生物綠色能源產業的專業化發展，並實施懸浮牀加氫生物燃料的工業化項目。作為公司懸浮牀加氫（MCT)生物燃料工業化項目的實施主體，採用“第二代生物柴油”技術，結合相關生物原料油加工生產生物柴油、生物輕油的經驗，和先進懸浮牀加氫技術(MCT技術)及生產經驗，生產生物柴油、生物航煤、生物輕油，以滿足國內、外兩個市場的需求。
公司以自有資金進行此次對外投資，不會對公司財務及經營狀況產生不利影響，不存在損害上市公司及股東利益的情形。
此次對外投資是公司從整體戰略及長遠發展所作出的決策，進一步增強公司的市場競爭能力，全面提升公司的綜合競爭優勢，促進公司的可持續發展，對公司業務發展產生積極影響。
