經公司自查、向南寧沛寧資產經營有限責任公司(以下簡稱：南寧沛寧)、南寧市富天投資有限公司(以下簡稱：南寧富天)書面發函，並通過南寧沛寧向實際控制人問詢，截止公告披露日，公司及上述股東和實際控制人不存在應披露而未披露的重大信息。
2019年12月16日，公司股票收盤價格9.46元，漲幅10.00%，換手率33.60%，成交量15.80億元，換手率及成交量均顯著高於公司及市場均值；市盈率為643.34，遠高於行業平均水平15.63。敬請投資者注意投資風險。
公司日常經營情況沒有發生重大變化。公司市場環境或行業政策未發生重大調整，生產成本和銷售等情況未出現大幅波動，內部生產經營秩序正常，近期沒有簽訂或正在磋商重大合同，沒有在為產業轉型升級投資新項目等。

今日，公司就司法拍賣進展情況詢問南寧富天，南寧富天回覆：已按照競買要求支付了拍賣尾款，正等待揭陽市中級人民法院出具正式司法裁定書。
南寧沛寧將與南寧農工商集團有限責任公司(“南寧農工商”)簽署一致行動人協議，結成一致行動人關係，以維持控股股東地位。南寧沛寧於2019年12月11日回覆：南寧沛寧與農工商集團簽署一致行動人協議仍在履行審批手續階段，尚未簽署一致行動人協議。
今日，公司就南寧沛寧與南寧農工商簽署一致行動人協議的進展情況再次發函詢問，南寧沛寧回覆：南寧沛寧已於2019年12月16日與南寧農工商集團有限責任公司簽署一致行動人協議，目前正在編制權益變動報告書。
媒體報道、市場傳聞情況
關於媒體對公司所持物業徵收情況及價值的多方猜測，公司已於2019年12月13日予以澄清。目前公司南樓已列入南寧市歷史建築名錄，已從原有的拆遷範圍內劃出；目前公司南樓只能按照“修舊如舊”的方式重新修繕，因此公司無法獲得徵拆補償。
關於媒體報道南寧富天與公司前十股東中的洪琬玲、深圳雷虎實業有限公司存在隱匿交集關係的傳聞。南寧富天分別於2019年12月6日、12月11日回函稱：截至回覆函件出具之日，南寧富天與洪琬玲、深圳雷虎實業有限公司或本公司其他股東不存在任何一致行動人關係或潛在的一致行動人關係。
今日，公司再次就此事向南寧富天詢問，其回覆：南寧富天曾分別在2019年12月6日、12月11日回函，説明南寧富天與洪琬玲、深圳雷虎實業有限公司或南寧百貨其他股東不存在任何一致行動人關係或潛在的一致行動人關係，目前該情況説明未發生變化。
