中遠海科(002401.SZ)擬公開摘牌方式參與貴州中南交通科技增資項目
格隆匯12月16日丨中遠海科(002401.SZ)公佈，公司於2019年12月16日召開的第六屆董事會第十六次會議審議通過了《關於擬以公開摘牌方式參與貴州中南交通科技有限公司增資項目的議案》，擬作為戰略投資者，以公開摘牌方式參與貴州高速公路集團有限公司(“貴州高速集團”)全資子公司貴州中南交通科技有限公司(“貴州中南交科”)增資項目。
貴州中南交科於2019年10月25日起在貴州陽光產權交易所有限公司掛牌增資並依法定程序公開徵集投資方，擬徵集投資方一家，持股比例不高於20%，募集資金額不低於8120萬元。公司擬以持有的貴州新思維科技有限責任公司(“貴州新思維”)30%股權及現金作為對價增資。
根據貴州中南交科的掛牌公告，戰略投資者取得增資後20%的股權應出資的底價為8120萬元，考慮貴州中南交科不排除使用競價遴選方式確定投資方，公司擬以持有的貴州新思維30%股權及現金合計不超過8200萬元參與增資。最終投資價格將在上述上限價格內，以公司最終簽署的正式協議為準。
按照掛牌底價8120萬元，公司所持貴州新思維30%的股權評估作價為3861.30萬元出資，另行支付貴州中南交科現金出資4258.7萬元。
貴州高速集團系貴州全省重點公路及其他交通基礎設施的資本運營平台和建設經營管理主體，貴州中南交科是貴州高速集團所屬專業從事智慧交通和交通信息化的高科技企業。
公司通過公開摘牌方式增資參股貴州中南交科，有助於公司圍繞整體發展戰略，優化投資結構，通過商業模式創新，增強公司的產業佈局和整體實力。同時進一步加強與貴州高速集團的合作關係，共同做大做強智慧交通產業。
此次交易完成股權交割後，貴州新思維由公司的控股子公司變為參股子公司，不再納入公司合併報表範圍。本次交易不會導致貴州中南交科納入公司的合併報表範圍。
