大唐发电(00991.HK)公布,公司与大唐集团订立股权转让协议,公司作为买方有条件同意收购呼和浩特热电公司余下股权,涉资1,782.03万元人民币。
於公告日期,呼和浩特热电公司为公司的非全资子公司,由公司及大唐集团分别持有51%及49%股权。收购事项完成後,呼和浩特热电公司将成为公司的全资子公司。
由於控股股东大唐集团及其子公司合计持有公司约53.09%的已发行股本,故交易构成公司的关连交易。 ~
