日盈電子(603286.SH)擬參與投資汽車零部件行業產業基金
格隆匯12月16日丨日盈電子(603286.SH)公佈，公司為加深在汽車零部件行業領域的佈局，優化公司的投資結構，提高公司的綜合競爭力，擬參與投資寧波梅山保税港區岱興股權投資合夥企業(有限合夥)(“寧波岱興”)設立的汽車零部件行業產業基金。此次擬投資的產業基金規模為人民幣8000萬元，分期募集，首期實繳到位不低於6000萬元，其餘資金在投資期內由基金管理人根據投資進度情況要求合夥人實繳出資。
該產業基金將以常州創盈創業投資合夥企業(有限合夥)(“創盈投資”)作為投資載體，擬以股權投資的形式投資於汽車零部件行業之未上市企業。
此次參與發起設立投資基金是公司實施發展戰略和資本運營的一項重要舉措，對公司未來發展具有積極推動意義。在做好主營業務，保持競爭優勢的同時，使公司達到產業經營與資本經營的良性互動，提升公司的核心競爭力和盈利能力。同時有利於提高資金使用效率，加快外延式發展步伐，深入挖掘併購標的，藉助專業投資機構的實力和優勢，放大公司的投資能力，實現公司的產業擴張和生態整合，推動資產收購兼併。
汽車零部件行業產業基金將通過整合各方的資源優勢，通過專業化的投資管理團隊運作，及時把握投資機會，降低投資風險；同時利用基金的平台，佈局符合公司主營業務戰略發展方向的項目，促使公司業務經營和資本運營達到良性互補，進一步提升公司綜合競爭實力和盈利能力，實現公司持續、快速、健康發展，符合公司及全體股東的利益。公司本次投資資金來源為自有及自籌資金，不涉及募集資金使用。從短期來看，對公司經營業績不會產生重大影響。從長期來看，基金投資的項目可作為公司併購標的池，在標的達到一定的盈利能力和規範程度後可由公司擇機收購，降低公司併購項目前期的決策風險、財務風險，減少併購過程中的不確定性，提高併購效率，降低投資風險，能更好地保護公司及全體股東的利益。
