南大光電(300346.SZ)：為進一步推動光刻膠項目的實施 寧波南大光電擬增資擴股融資2.6億元
格隆匯12月13日丨南大光電(300346.SZ)公佈，公司分別於2018年12月21日、2019年1月9日召開第七屆董事會第十二次會議、2019年第一次臨時股東大會，審議通過了《關於投資實施國家“02專項”ArF光刻膠產品的開發與產業化項目的議案》和《關於使用部分超募資金投資“ArF光刻膠產品的開發與產業化”項目的議案》。“ArF光刻膠產品的開發與產業化項目”(“光刻膠項目”)投資總額約6.56億元人民幣，其中國撥資金約1.93億元，地方配套資金約1.97億元，使用公司上市時的超募資金1.5億元及其他自籌資金。項目實施主體為公司全資子公司寧波南大光電材料有限公司(“寧波南大光電”)。
截至公告日，公司已使用上述超募資金4000萬元作為資本金投入寧波南大光電，用於實施光刻膠項目。
為進一步推動光刻膠項目的順利實施，滿足項目資金需求，寧波南大光電擬以增資擴股的方式融資2.6億元(含上述已經公司董事會、股東大會審議通過的超募資金使用計劃中剩餘的1.1億元)。
上述增資擴股方式分為三部分。第一部分為南大光電擬以貨幣資金方式對寧波南大光電增資1.5億元，其中使用上述超募資金使用計劃中的剩餘資金1.1億元，自有或自籌資金4000萬元。
第二部分為南大光電擬以自有的“光刻膠技術資產組”作為無形資產對寧波南大光電增資。經蘇州東正資產評估事務所(普通合夥企業)出具的(蘇東正評報字【2019】第015號)評估報告確認，南大光電“光刻膠技術資產組”的評估值為3010萬元。公司擬依據該資產組的估值以無形資產方式對寧波南大光電出資3000萬元。
第三部分為寧波南大光電引入新的投資方：寧波經濟技術開發區金帆投資有限公司(“寧波金帆”)、天津南晟貳號企業管理合夥企業(有限合夥)(“天津南晟”)以及許從應個人。經各方友好協商，寧波金帆以3000萬元的價格認購寧波南大光電新增註冊資本3000萬元；天津南晟以4000萬元的價格認購寧波南大光電新增註冊資本4000萬元；許從應先生以1000萬元的價格認購寧波南大光電新增註冊資本1000萬元。
寧波南大光電此次增資擴股並引入外部投資者，有利於增強寧波南大光的資金實力，有利於加快公司“ArF光刻膠產品的開發與產業化項目”的建設進度，推動公司在光刻膠板塊的戰略佈局。此次交易對公司持續經營能力和資產狀況無不良影響，不存在損害公司及全體股東特別是中小股東利益的情形。此次交易完成後，寧波南大光電將由公司的全資子公司轉變為控股子公司，不影響公司合併報表範圍。
