高鴻股份(000851.SZ)終止高鴻鼎恆智能化倉儲物流平台建設項目 1.495億元永久補充公司流動資金
格隆匯12月13日丨高鴻股份(000851.SZ)公佈，公司於2019年12月13日召開了第八屆第三十七次董事會，會議審議通過了《關於公司使用剩餘募集資金永久補充流動資金的議案》。同意公司終止2016年發行股份購買資產並募集配套資金項目，並將剩餘募集資金約1.495億元(含利息收入，具體金額以實際結轉時該項目專户資金餘額為準)永久補充公司流動資金。表決情況：同意：8票；反對：0票；棄權：1票。
公司副董事長陳蕾本議案表決意見為棄權，原因為：本人為控股股東派出董事，接到公司董事會通知後，本人向公司控股股東相關部門徵求意見，該事項相關審核流程至董事會召開日尚未完成，故本人無法出具意見。
高鴻鼎恆智能化倉儲物流平台建設項目擬在南京建設中心倉集中儲運貨品，同時在廣州、成都、瀋陽、北京建設四個中轉倉負責華南、西南、西北、華北、東北等地的貨物分揀、轉運。作為募集資金投資項目，公司對該項目的相關投資決策十分謹慎，公司先在北京和廣州建立了兩個分倉作為試點運行，但由於分貨精準程度不高，分倉試行不理想，截止2019年12月13日，項目僅投入319.79萬元。
此外，近年來，順應IT分銷線上發展的形勢，高鴻鼎恆在夯實原有業務的同時，重點拓展與京東的線上業務合作，鑑於線上、線下運營模式以及對物流響應時效要求差異較大，線上業務對物流響應時效要求更高。高鴻鼎恆自建智能化倉儲物流平台，原本是為了夯實線下銷售基礎，但由於市場環境發生了變化，自建倉儲項目已不能適應IT產品線上銷售發展形勢和公司實際業務的要求，需要及時調整。
自募集資金到賬至公告出具日，募投項目使用資金較少，資金使用效率較低。經公司審慎研究後認為，高鴻鼎恆智能化倉儲物流平台建設項目已不具備競爭力，若公司繼續實施該項目，預計很難達到預期效益，也不符合公司業務發展的實際需求。因此，為提高募集資金使用效率，維護股東利益，經審慎研究後，公司決定終止實施“高鴻鼎恆智能化倉儲物流平台建設項目”，以確保剩餘募集資金的有效使用。
