攀鋼釩鈦(000629.SZ)重大資產購買相關議案未獲股東大會通過暨終止此次重組
格隆匯12月13日丨攀鋼釩鈦(000629.SZ)公佈，公司於2019年12月13日召開2019年第二次臨時股東大會，出席本次股東大會的股東及股東代表共1368人，代表股份數291,661,974股，佔公司有表決權股份總數的3.3955%。根據本次股東大會的審議及表決情況，會議未審議通過公司本次重大資產購買相關的議案，本次重大資產購買事項因此終止。本次會議的召集、召開程序符合相關法律法規、規範性文件及《公司章程》的規定。
2019年12月13日，公司召開了2019年第二次臨時股東大會，出席會議有表決權的股東和股東代表充分討論並認真審議後，形成表決結果如下：
(一)審議通過《關於公司控股股東、實際控制人履行同業競爭承諾事項的議案》
表決結果：同意146,810,220股，佔出席會議所有股東所持股份的50.3357％；反對138,593,955股，佔出席會議所有股東所持股份的47.5187％；棄權6,257,799股，佔出席會議所有股東所持股份的2.1456％。
(二)未審議通過《關於本次交易符合上市公司重大資產重組條件的議案》
同意140,218,970股，佔出席會議所有股東所持股份的48.0758％；反對149,253,454股，佔出席會議所有股東所持股份的51.1734％；棄權2,189,550股，佔出席會議所有股東所持股份的0.7507％。
(三)未審議通過《關於本次重大資產購買構成關聯交易的議案》
表決結果：同意139,373,570股，佔出席會議所有股東所持股份的47.7860％；反對145,670,046股，佔出席會議所有股東所持股份的49.9448％；棄權6,618,358股，佔出席會議所有股東所持股份的2.2692％。
(四)未審議通過《關於本次重大資產購買暨關聯交易方案的議案》
因此次重大資產購買相關議案未獲得股東大會審議通過，此次重大資產購買終止。公司將和全體股東一起，結合市場情況，繼續推動與控股股東同業競爭問題的解決。同時，公司將繼續做好生產經營工作，以更好的業績回報股東。
