嶺南股份(002717.SZ)擬2.49億元轉讓恆潤集團9.97%股權
格隆匯12月13日丨嶺南股份(002717.SZ)公佈，公司擬以向合肥澤恆企業管理諮詢合夥企業(有限合夥)(“澤恆諮詢”)、安徽省中安海外技術引進投資合夥企業(有限合夥)(“中安海外”)、合肥市創新科技風險投資有限公司(“合肥創投”)、滁州中安創投新興產業基金合夥企業(有限合夥)(“中安創投”)、寧波梅山保税港區春陽啟楊股權投資合夥企業(有限合夥)(“啟楊投資”)五名投資者(“受讓方”)合計轉讓公司子公司上海恆潤文化集團有限公司(“恆潤集團”)9.97%的股權，交易價格合計人民幣約2.49億元。交易完成後，公司仍持有恆潤集團90.03%的股權。
上海恆潤文化集團有限公司經營範圍：影視策劃,電影製片,從事數碼影像、計算機科技領域內的技術開發、技術轉讓、技術諮詢、技術服務,影院機房工程施工,綜合佈線,計算機網絡工程施工,機電設備安裝,建築機電安裝建設工程專業施工,建築建設工程施工,建築裝飾裝修建設工程設計與施工,鋼結構建設工程專業施工,音響系統設備、工藝禮品(象牙及其製品除外)的銷售,展覽展示服務,展台製作設計,電器設備、電子設備、低壓成套設備開關設備、影院座椅、播放服務器設備、玩具、液壓成套設備(除特種設備)的設計、銷售,自有設備租賃,從事貨物進出口及技術進出口業務。【依法須經批准的項目,經相關部門批准後方可開展經營活動】
此次交易引入投資者有利於整合優質資源進一步增強恆潤集團的實力，提升恆潤集團的公司治理結構，有利於促進公司加快發展文化旅遊業務，符合公司及恆潤集團的戰略規劃與未來發展方向。
此次交易受讓方財務數據及資信狀況良好，具備交易支付能力。此次交易增加母公司投資收益約1.68億元，對母公司本年度損益產生較大影響。此次交易不會影響公司對恆潤集團的控制權，不會對公司財務及經營狀況產生不利影響，也不存在損害公司及全體股東利益的情形。
