世紀天鴻(300654.SZ)子公司擬110萬元收購瓜二文化10%股權
格隆匯12月13日丨世紀天鴻(300654.SZ)公佈，公司於2019年12月13日召開第二屆董事會第十四次會議審議通過了《關於收購山東瓜二文化傳媒有限公司少數股權的議案》，同意公司之全資子公司山東鴻翼教育科技有限公司(“鴻翼教育”)使用自有資金110萬元收購北京雲鼎天元投資合夥企業(有限合夥)(“雲鼎天元”)持有的山東瓜二文化傳媒有限公司(“瓜二文化”或“標的公司”)10%股權。
山東瓜二文化傳媒有限公司主營業務：瓜二文化專注於英語學科領域，以打造互聯網式“快樂教輔”產品為經營宗旨，其自主研發的在線英語詞彙記憶軟件—“圖背單詞”APP，用漫畫形式解讀最枯燥的英語單詞，通過風趣幽默的講解，很好的解決了“背詞難、忘得快”這一大英語學習難題，讓單詞記憶不再成為負擔；同時配套發行“圖背單詞系列、南瓜姐姐段子單詞系列、小紅書系列”等英語學習詞典工具書，通過線上品牌課程、個性出版物、IP教師運營等，實現了線上、線下資源的有效轉化。目前已與喜馬拉雅、滬江英語、有道詞典、金山詞霸等網絡平台達成合作。
基於公司教育出版產業的整體佈局，公司成立了以子公司鴻翼教育為運作主體的“鴻翼創谷·世紀天鴻創業孵化平台”(“創業孵化平台”)，以教育出版為核心，面向教育科技、教育服務、教育學科化等領域培育孵化優質教育項目，為創業者、創新項目搭建全媒體創業、創新服務平台，提供從產品創意、出版服務、產品設計、產品研發、教育考試研究、出版發行、數字出版等全媒體、全流程服務，形成涵蓋線上、線下，紙媒、數媒為一體化的全媒體創業、創新生態圈，以此來推動公司產品迭代和產業升級的步伐。自成立以來，創業孵化平台已積極拓展了零售教輔、兒童繪本、策劃服務、語文閲讀、升學規劃服務及教育文創等領域的新業務、新模式，提高了公司教育產品的豐富度。
瓜二文化專注於英語學科領域，通過線上品牌課程、個性出版物、IP教師運營等方式，已開發上線的內容及產品，有效解決了學生英語學習中的單詞記憶痛點。此次投資能夠豐富公司的內容資源及產品線，將上市公司的市場及渠道資源與標的公司內容資源相結合，雙方優勢互補，提升業務的協同效應。
此次投資對公司的財務狀況和經營成果不會產生不利影響，不存在損害公司及全體股東利益的情形。
