大湖股份(600257.SH)擬與長午投資共設醫療健康產業投資基金
格隆匯12月13日丨大湖股份(600257.SH)公佈，為推進公司在醫療健康領域的創新升級，實現公司為廣大人民提供健康產品、健康生活服務的目標，公司擬以有限合夥形式與上海長午投資管理有限公司(“長午投資”)共同發起設立主要投資醫療健康領域的私募基金，藉助長午投資專業投資能力和產業整合能力，雙方共同尋找、儲備和投資優質的康養護理醫療資源，雙方並於2019年12月13日簽訂了《關於設立醫療健康產業投資基金之合作協議》。
基金規模為10億元人民幣，公司作為基金的有限合夥人以自有資金認繳不低於30%，不超過50%，長午投資作為基金的普通合夥人認繳100萬元，其餘出資由長午投資負責向其他合格投資者非公開募集。基金分期進行募集，首期設定5億元，公司作為基金的有限合夥人首期認繳出資不少於基金總規模的20%，長午投資作為基金的普通合夥人首期認繳不少於50萬元，根據項目進度出資。基金認繳的出資達到2.5億元即可成立並開始運營。正式基金合同尚未簽署。
該基金的目的：圍繞醫療健康產業，藉助長午投資的專業投資能力和產業整合能力，佈局、培育及投資醫療大健康領域相關行業的優質企業，以實現良好的社會效益和投資回報，為公司未來的產業整合和併購提供支持。
基金擬投資項目領域為：服務於大湖股份發展戰略，以康復護理醫療、健康生活產業為主要投資方向。基金主要以控股或參股的形式直接或間接投資具有康復、護理等醫療資質的優質目標公司的股權，或持有前述優質目標公司股權的私募基金和資產管理計劃。
此次設立投資基金有利於加快推進公司向醫療健康產業創新升級發展，為公司培育新的利潤增長點。有利於引入市場化資本和外部資源，通過專業管理和市場化運作，實現優勢互補。同時利用投資基金的專業優勢和風險控制能力，為公司儲備併購項目池，有效過濾標的項目前期的各種潛在風險，推動公司積極穩健地併購整合及外延式擴張，實現持續穩健發展。
