勵晶太平洋(00575.HK)已出售VXR 5.47%股份 總代價約305萬澳元
格隆匯12月12日丨勵晶太平洋(00575.HK)公告，四月VXR出售事項及近期VXR出售事項(共佔VXR現有已發行股本5.47%)，已為集團產生現金總代價約為305萬澳元。
緊隨近期VXR出售事項後，公司仍持有2384.94萬股VXR股份，即VXR現有已發行股本約8.52%，同時James Mellon(其本人及Galloway)及Jamie Gibson分別持有VXR現有已發行股本約3.70%及0.44%。
預期於過去12個月出售合共1529.6萬股VXR股份(包括四月VXR出售事項及近期VXR出售事項)已於截至2019年12月31日止年度合共產生已變現溢利淨額(扣除開支前)約22萬美元，將於公司截至2019年12月31日止年度業績內確認，而上述已變現溢利淨額計算方式為自出售事項所得款項總額(扣除開支前)211萬美元中扣除各別VXR股份於2018年12月31日及2019年6月30日賬面值189萬美元。
然而，於2019年4月2日至2019年12月3日(即最後一項近期VXR出售事項達成協議日期)止期間，過往12個月出售合共1529.6萬股VXR股份(包括四月VXR出售事項及近期VXR出售事項)整體而言已合共產生已變現虧損淨額(扣除開支前)1117萬美元，而其計算方式為自2010年4月16日至2015年12月21日期間各別VXR股份平均過往收購成本中扣除有關出售事項所得款項總額(扣除開支前)得出。
來自合共出售460.5萬股VXR股份(包括四月VXR出售事項)所得款項淨額約為102萬澳元，已用作公司一般營運資金及企業用途，而出售1069.08萬股VXR股份(包括近期VXR出售事項)所得款項淨額約為203萬澳元，連同本公司現有可用資源已經及將會用作撥付公司一般營運資金所需及(特別是)為澳洲税項訴訟的和解金額950萬澳元提供資金。
董事局認為，有關資金用途乃符合本公司及其股東整體利益。
