雅生活服務(03319.HK)擬不超5億元收購新中民物業60%股權以打造成全國物業管理服務龍頭

格隆匯12月12日丨雅生活服務(03319.HK)、雅居樂集團(03383.HK)公佈,於2019年12月12日,雅生活服務全資附屬天津雅潮企業管理諮詢有限公司作為買方及賣方廣東豐信盈隆股權投資合夥企業(有限合夥)訂立了新中民物業協議,據此,買方同意有條件以可變對價收購新中民物業60%股權,但總額不超過人民幣5億元。

新中民物業為一家於中國註冊成立的有限責任公司,業務範圍為物業管理。中民物業集團及新中民物業集團是全國最大的物業管理公司之一,截至2018年12月31日止年度,其下屬的控股物業公司管理面積合計約1.9億平方米、參股物業公司合計管理面積約1億平方米,合計近2,000個項目。

完成後,預計雅生活集團整體在管面積將突破5億平方米,管理項目將突破3,000個。同時,中民物業集團及新中民物業集團經營業績往績卓越,截至2018年12月31日止年度其收入合計約人民幣39.6億元,扣非税後淨利潤合計約人民幣3.51億元,項目續約率高達95%。

公司稱,通過收購事項,可與雅生活集團現有業態、區域有效互補,鞏固既有優勢地位,產生協同效應。此外,收購事項可有力提升雅生活集團的管理規模、盈利能力及品牌力,從而打造雅生活集團成為全國性、全業態、優品牌的物業管理服務龍頭企業。完成後,預計雅生活集團規模及利潤水平取得跨越式增長。

此外,中民物業集團及新中民物業集團享有已佈局的城市羣及多種業態的先發優勢,未來將與雅生活集團現有業務協同並進,使業務規模及盈利水平不斷提高。完成後,預計雅生活集團於長三角、粵港澳大灣區、山東半島、川渝四大重點城市羣的在管面積均將超過4,000萬平方米,一躍成為各區域市場佔有率領先企業,進一步體現以區域為中心的規模效應。
