達剛控股(300103.SZ)擬使用1300萬元超募資金投資設立智慧運維科技公司
格隆匯12月12日丨達剛控股(300103.SZ)公佈，為實現公司築養路業務產業化佈局，持續推動公司裝備製造和城市運維管理戰略規劃的落地實施，同時，結合公司的實際情況，經審慎的市場調研分析，公司擬與無錫市樑溪城市投資發展有限公司(以下簡稱“樑溪城投”)及無錫市昇和城市物業管理有限公司(以下簡稱“昇和城管”)共同出資人民幣2000萬元設立無錫達剛智慧運維科技有限公司(暫定名，最終以工商行政管理部門核定為準，以下簡稱“合資公司”或“控股子公司”)。
合資公司註冊資金為2000萬元人民幣，其中，公司使用超募資金出資人民幣1300萬元，佔合資公司註冊資本的65%；樑溪城投以自有資金出資人民幣500萬元，佔合資公司註冊資本的25%；昇和城管以自有資金出資人民幣200萬元，佔合資公司註冊資本的10%。
擬定經營範圍包括道路檢測評價；項目管理；技術開發、技術諮詢、技術服務、技術推廣；勞務服務；市政設施、公路設施管理養護；施工總承包；專業承包；勞務分包；市政、公路、橋樑工程檢測和實驗；水質檢測；設計、代理、發佈廣告；工程勘測；城市園林綠化；園林綠化設計；銷售機械設備、電器設備、建築材料、裝飾材料、五金交電、花卉、苗木、草種、植物肥料、植草纖維、交通標識；道路貨物運輸；機動車停車服務；物業管理；出租辦公用房、出租商業用房；設備租賃；計算機系統服務；基礎軟件服務；應用軟件服務；軟件開發；數據處理(數據處理中的銀行卡中心、PUE值在1.5以上的雲計算數據中心除外)。
公司與樑溪城投及昇和城管共同出資設立合資公司是為了抓住道路養護市場發展的契機，持續在多城市打造道路設施智慧運維託管服務業務平台，依託公司多年的道路施工養護經驗，整合各項資源，實現公司在道路建養方面各相關板塊的高效協同，提升道路運維和週期性養護託管方面的綜合能力，為後期佈局其他區域道路智慧運維與養護項目奠定堅實的基礎。
