博深股份(002282.SZ)披露重組報告書(草案) 擬6.53億元收購海緯機車86.53%股權
格隆匯12月12日丨博深股份(002282.SZ)披露重組報告書(草案)，公司擬發行股份及支付現金購買海緯機車86.53%股權，另外，擬向不超過10名特定對象非公開發行股票募集配套資金不超過38048.49萬元。
此次交易的標的公司海緯機車是國內領先的高鐵動車組用制動盤供應商，報告期內主要從事高鐵動車組制動盤、城際列車制動盤等系列制動盤及內燃機車氣缸蓋的研發、生產及銷售。公司自設立以來依靠自主研發，在高鐵動車組制動盤的配料、工藝、生產設備等方面取得重大進展，公司生產的中國標準動車組制動盤產品已經達到或者超過國外同類產品，技術水平達到了國內領先、國際同類產品的先進水平，2017年首次應用於“復興號”中國標準動車組的製造。目前，海緯機車是時速350公里“復興號”中國標準動車組制動盤核心供貨商。
根據博深股份與此次交易對方簽署的《發行股份及支付現金購買資產協議》及其補充協議，博深股份擬以發行股份及支付現金的方式購買交易對方張恆巖、海緯進出口、瑞安國益所持海緯機車86.53%的股權。此前，博深股份已持有海緯機車13.47%的股權。此次交易完成後海緯機車將成為公司全資子公司。
此次交易發行股份及支付現金購買資產的定價基準日為上市公司審議此次交易相關事項的第五屆董事會第三次會議決議公告日。經交易各方友好協商，此次發行股份及支付現金購買資產的股票發行價格為8.10元/股，不低於定價基準日前20個交易日公司股票均價的90%。
根據同致信德出具的《資產評估報告》，在評估基準日2019年9月30日，海緯機車100%股權股東權益評估值約7.55億元，其經審計的股東權益合計約2.47億元，增值率為205.40%。基於上述評估結果，經公司與交易對方協商確認，海緯機車100%股權作價為7.55億元，此次交易中的海緯機車86.53%股權交易對價約6.53億元。
業績承諾方承諾，海緯機車2019年度、2020年度、2021年度和2022年度實現的淨利潤分別不低於人民幣5710萬元、6540萬元、7400萬元和8420萬元。
