天業通聯(002459.SZ)已轉型進入光伏行業 明起證券簡稱變為“晶澳科技”
格隆匯12月12日丨天業通聯(002459.SZ)公佈，經公司向深圳證券交易所申請，並經深圳證券交易所核准，公司證券簡稱自2019年12月13日起由“天業通聯”變更為“晶澳科技”，英文簡稱由“TIANYE TOLIAN”變更為“JA SOLAR”，公司證券代碼不變仍為“002459”。
公司於2019年12月11日完成相關工商變更登記手續，並取得秦皇島市行政審批局核發的《營業執照》。
截至2019年11月15日，此次重大資產重組事項已完成擬購買資產晶澳太陽能有限公司100%股權的過户手續及相關工商變更登記事宜，晶澳太陽能有限公司已成為公司的全資子公司；相關各方已簽署《重大資產出售及發行股份購買資產之置出資產交割確認書》，公司對交付置出資產的義務已履行完畢。
晶澳太陽能有限公司是實施產業鏈一體化戰略的全球知名的高性能光伏產品製造商，主營業務為硅片、太陽能電池片及太陽能電池組件的研發、生產和銷售，以及太陽能光伏電站的開發、建設、運營等，是工業與信息化部公佈的第一批符合《光伏製造行業規範條件》的企業。
鑑於公司已轉型進入光伏行業，公司的主營業務已變更為硅片、太陽能電池片及太陽能電池組件的研發、生產和銷售，以及太陽能光伏電站的開發、建設、運營等。根據公司依據此次重組上市交易完成後的資產、業務架構編制的最近一個會計年度經審計備考財務報表相關數據，公司硅片、太陽能電池片、太陽能電池組件及太陽能光伏電站業務最近12個月已實現的營業收入占上市公司營業收入的比例超過100%。此次公司名稱及證券簡稱、註冊資本、經營範圍變更，與公司主營業務相匹配，不存在利用以上變更等事項影響公司股價、誤導投資者的情形，符合《公司法》、《證券法》等相關法律、法規及《公司章程》的相關規定，符合公司的根本利益，不存在損害公司和中小股東利益的情形。
