深信服(300454.SZ)再次增加對投資基金的投資 認繳出資額由2億元增至3億元
格隆匯12月12日丨深信服(300454.SZ)公佈，公司於2019年4月11日召開第一屆董事會第二十五次會議，審議通過了《關於公司擬參與投資設立投資基金的議案》，同意公司擬作為有限合夥人與前海琥珀永裕股權投資(深圳)合夥企業(有限合夥)(“琥珀永裕”)等合作設立股權投資基金。該股權投資基金擬以有限合夥企業(“合夥企業”)形式在中國境內設立，琥珀永裕為合夥企業的普通合夥人和執行事務合夥人，合夥企業的目標認繳出資總額最高不超過人民幣10億元。
2019年5月8日，公司披露了公司與琥珀永裕、深圳市銀澎投資控股(集團)有限公司(“銀澎投資”，琥珀永裕、公司及銀澎投資合稱“各方”或“各合夥人”)共同簽署了《前海琥珀安雲創業投資(深圳)合夥企業(有限合夥)合夥協議》，且已經完成股權投資基金前海琥珀安雲創業投資(深圳)合夥企業(有限合夥)(“琥珀安雲”)的工商設立登記手續，合夥協議已完成工商登記備案。
2019年5月30日，琥珀安雲已根據《證券投資基金法》、《私募投資基金監督管理暫行辦法》等法律法規的要求，在中國證券投資基金業協會完成了私募投資基金備案登記手續，並取得了《私募投資基金備案證明》。
2019年9月10日，琥珀安雲各方合夥人決定增資，增資後各方認繳的總出資額增加至人民幣6億元，其中深信服認繳的出資總額增加至人民幣2億元。琥珀安雲各方合夥人據此修訂了《前海琥珀安雲創業投資(深圳)合夥企業(有限合夥)合夥協議》，並於2019年9月11日完成工商變更登記手續，合夥協議(2019年9月10日修訂)也已完成工商登記備案。
近日，經琥珀永裕提議及各合夥人友好協商、探討，公司管理層審慎研究後，為加快股權投資基金投資產業佈局、維護包括公司在內的各合夥人之利益，決定再次對合夥企業增資，合夥企業的認繳出資總額增加至人民幣7.01億元。其中，公司的認繳出資額由人民幣2億元增加至人民幣3億元。
2019年12月10日，各方簽署修訂後的《前海琥珀安雲創業投資(深圳)合夥企業(有限合夥)合夥協議》，並向深圳市市場監督管理局提交了合夥企業變更登記的申請。截至公告發布之日，合夥企業已完成工商變更登記手續，合夥協議(2019年12月10日修訂)也已完成工商登記備案。
合夥企業擬投資境內外非上市公司，將主要投資於企業數字化轉型的核心IT領域，包括網絡安全與信息安全，雲計算與雲生態，AI與大數據領域。
